1990-09-17 RM Exhibits RESOLUTION OF THE NEW HANOVER COUNTY BOARD OF COMMISSIONERS WHEREAS, the United States Congress has carried over a Seven Million Dollar ($7,000,000) authorization for the revetment program at historic Fort Fisher located at Kure Beach in New Hanover County that is contingent on the allocation of matching funds ($3.2 million) from the State of North Carolina; and WHEREAS, the New Hanover County Board of Commissionersi fully supports the Fort Fisher revetment program; NOW, THEREFORE, BE IT RESOLVED THAT: The New Hanover County Board of Commissioners urges the State of North Carolina to allocate matching funds for the protection of the environment surrounding historic Fort Fisher. NEW HANOVER COUNTY Uf&i:L- Fred Retchin, Chairman Board of Commissioners ~\/~ Cl rk to the Board RESOLUTION OF THE NEW HANOVER COUNTY BOARD OF COMMISSIONERS WHEREAS, the State of North Carolina is responsible for creating positions in the Department of Environmental, Health and Natural Resources; and WHEREAS, Counties are encountering increasing environmental concerns, involving landfill permitting and monitoring; and WHEREAS, Counties need assistance from the State in 1. addressing these concerns; NOW, THEREFORE, BE IT RESOLVED THAT: The New Hanover County Board of Commissioners urges the State of North Carolina to add field staff in the Department of Environmental Health and Natural Resources, especially Waste Management Specialists who can assist Counties Landfill permitting and monitoring. The state of North Carolina, through the Department of Motor Vehicles collect personal property taxes on all motor vehicles when a person renews their vehicle registration. 2. NEW HANOVER COUNTY ~g~~- Board of Commissioners ATTEST: -~v/ ~ ~l rk to the Board " \' RESOLUTION OF THE NEW HANOVER COUNTY BOARD OF COMMISSIONERS WHEREAS, G.S. 143-129 mandates the procedures for the letting of public contracts by Counties; and G.S. 143-131 and 143-132 provide that such contracts be let to the "lowest responsible bidder"; and WHEREAS, the term "lowest responsible bidder" is not defined in the statutes, thereby giving Counties no objective criteria upon which to evaluate a contractor or to be able to reject a bid from a contractor with whom the County has had previous conflicts and problems adverse to the County's interest. NOW, THEREFORE, BE IT RESOLVED THAT the New Hanover County Board of Commissioners requests the North Carolina Association of County Commissioners to seek legislation that would amend the public bidding laws to: 1. Define "lowest responsible bidder". 2. Include objective criteria upon which a County may reject a bid from a contractor with whom the County has had prior conflicts, Le. the County has previously become involved in a dispute with the Contractor involving a contract awarded pursuant to 143-129, or the County has assessed liquidated damages against the Contractor, or the County has taken action against the Contractor's performance bond. Hanover, North Carolina, met in regular session in Room 301, Old County Courthouse Building, North Carolina, the regular place of meeting at 9:00 o'clock, A.M., on September 17, '1990. The following Commissioners were: PRESENT: Robert G. Greer, Jonathan Barfield, Sr., Fred Retchin, Nolan O'Neal and E.L. Mathews, Jr. ~ ABSENT: None * * * * * A representative of The New Hanover County Industrial Facilities and Pollution Control Financing Authority (the "Authority") appeared before the Board and advised the Board that the Authority had adopted a bond resolution authorizing the issuance of revenue bonds in the principal amount of $3,250,000 and the execution and delivery of financing documents pertaining to the financing of industrial facilities in New Hanover County for Wilmington Machinery Incorporated (the "Company"). The representative submitted to the Board drafts of a Trust Indenture between the Authority and The South Carolina National Bank, as Trustee, a Loan Agreement between the Authority and the Company and a form of Letter of Credit to be issued by Branch Banking and Trust Company. The representative further stated that the Authority proposed to issue and sell the bonds to Donaldson, Lufkin, Jenrette Securities Corporation for resale to one or more institutional investors at a price of not less than 98% of the principal amount thereof and requested that the Board approve the issuance of the bonds. Commissioner Fred Retchin introduced the following resolution which was read at length: ~ RESOLUTION APPROVING THE ISSUANCE OF UP TO BUT NOT MORE THAN $3,450,000.00 PRINCIPAL AMOUNT OF INDUSTRIAL REVENUE BONDS (WILMINGTON MACHIN~RY INCORPORATED PROJECT), SERIES 1990 WHEREAS, the Board of County Commissioners has created a political subdivision and body corporate and politic of the state of North Carolina known as "The New Hanover County Industrial Facilities and Pollution Control Financing Authority" (the "Authority"); and WHEREAS, the Authority is authorized under the Industrial and Pollution Control Facilities Financing Act, Chapter 159C of the General Statutes of North Carolina, as amended (the "Act"), to issue revenue bonds for the purpose, among others, of paying all or any part of the cost of any industrial project for industry; to acquire, construct, improve and equip any such project; and to make and execute financing agreements, security documents and other contracts and instruments necessary or convenient in the exercise of such powers; and WHEREAS, the Authority proposes to issue its revenue bonds in the principal amount of up to but not more than $3,450,000.00 (the "Bonds") and to lend the proceeds thereof to Wilmington Machinery Incorporated (the "Company") to finance the costs of the acquisition, construction and installation of an industrial facility for the manufacture of primary plastics machinery in New Hanover County (the "Project") to be owned and operated by the Company; and WHEREAS, the Board has heretofore held a public hearing, pursuant to public notice duly given, and has here- tofore approved the Project in principle and the issuance of revenue bonds to finance the Project; and WHEREAS, the Act provides that no bonds shall be issued thereunder unless the issuance thereof shall have been approved by the governing body of the County and the Board desires to approve the issuance of the Bonds by the Authority; and WHEREAS, the Board has considered the financing documents presented to it setting forth the terms of the revenue bond financing; and WHEREAS, the State of North Carolina has allocated to the Authority for the Project $3,250,000 of the private activity bonds volume limitation for the State of North Carolina for the calendar year 1990 and an additional allocation will be requested; -2- NOW THEREFORE, BE IT RESOLVED by the Board of County Commissioners of the County of New Hanover as follows: (1) The issuance of the Bonds in the principal amount of up to but not more than $3,450,000.00 by the Authority is subject to further approval. .
