BYLAWS OF THE PARKS & RECREATION ADVISORY BOARD FOR THE THE NEW HANOVER COUNTY PARKS & RECREATION DEPARTMENT ARTICLE I: BOARD COMPOSITION AND QUALIFICATIONS A. Number and Term. The number of members constituting the Parks and Recreation Advisory Board shall be seven (7) and appointed by the New Hanover County Board of Commissioners. The Board will be made up of six (6) citizens plus one (1) representative from the County Board of Commissioners. Each member shall hold office for three (3) years or until his or her dea th, resignation, retirement, removal, disqualification, or until his or her successor shall be appointed. The governing body shall appoint two members whose terms shall end June 30, 1989, and two members whose terms shall end June 30, 1990, and two members whose terms shall end June 30, 1991. Thereafter, the terms of all members appointed by the governing body shall be three years except that in case of a vacancy occurring during a term the .same shall be filled by the governing body for the unexpired portion of such term. A member may serve two (2) consecutive terms. Any person who has previously served as a member of the Board for two consecutive terms cannot serve a subsequent term until at least one year has expired since the end of his last term. B. Qualifications. Any resident of the Hanover who is eighteen (18) years of age or eligible to serve as a member of the Parks Advisory Board. A strong feeling for team work between the Director, Board of County Commissioners, and other Advisory Board Members. 11. A desire to truly know the community and the recreational needs of all citizens. c. Removal and Other Vacancies of Members. Any member may be removed from the Board for cause by the New Hanover County Board of Commissioners, providing the member has been given an opportunity to be heard at the meeting of the New Hanover County Board of Commissioners at which such action is taken. In the event of death, resignation, or removal of a Member, his successor shall be appointed by the New Hanover County Board of Commissioners and he or she shall serve for the unexpired term of his or her~predecessor. In such cases, an individual will be eligible for re-appointment to a full term as described in Article I A. Failure to attend fifty (50%) per cent of the regular meetings during any fiscal year or three (3) consecutive unexcused absences from the regular meetings of the Board shall, at the option of the New Hanover County Board of Commissioners, be deemed sufficient cause for removal from the Advisory Board. D. Compensation. No compensation shall be paid to a member for his or her services. However, any member may be reimbursed for qis or her actual expenses incurred in the performance of h~s or her duties as long as such expense receives the prior approval of the New Hanover County Board of Commissioners or its desigpated agencies and is within the approved budget for the New Hanover County Parks and Recreation Department. E. Resignations. Any member may resign at any time by giving written notice to the Chairman or the Secretary of the Parks and Recreation Advisory Board. Such resignation shall take effect when accepted at a regular Parks and Recreatit>~ Advisory Board meeting and the Clerk to the New Hanover County Board of commissioners is notified. Bylaws Page 3 ARTICLE'II: MEETINGS A. Regular Meetings. "The Parks and Recreation Advisory Board shall meet monthly, at a regular time and place designated by the Chairperson. Additional meetings may be called by the Chairperson as needed. The principal office of the New Hanover County ~arks and Recreation Advisory Board shall be located at 414 Chestnut street, Room 101, Wilmington, North Carolina 28401~ ARTICLE IV: POWERS AND DUTIES OF THE ADVISORY BOARD The Parks and Recreation Advisory Board shall serve as the advisory body for the New Hanover County Department of Parks and Recreation. The Board shall suggest policies to the Department, the Manager, and the Board of County Commissioners, within its powers and responsibilities as stated in these bylaws. The Board shall serve as a liaison between the Department, the Manager, the Board of County Commissioners and citizens of the county. The Board shall consult with and advise the Department, the Manager, and the Board of County Commissioners in matters affecting recreation policies, program, personnel, finances, and the acquisition and disposal of lands and properties re~ated to the total county recreation program, and to its long-range, projected program for recreation. The Board shall assume. duties for park and recreation purposes, as follow: (1) Make recommendations for the establishment of a system of supervised recreation for the County. (2) Make recommendations to set apart land for use. as parks, playgrounds, recreation centers, water areas, or other recreation areas and structures, and suggest improvements qf such lands and for the construction, equipping, and staffing of '. such buildings and structures as may be necessary to operate ,tn~ By-Laws Page 4 the park and recreation program. (3) Advise in ~he acquisition of-lands and structures through gifts, purchase, lease or loan. (4) Advise in the acceptance by the County of any grant, gift, bequest or donation, any personal or real property offered or made available for park and recreation purposes and which' is jUdged to be of present or possible future use for parks and recreation. Any gift, bequest of money or other property, any grant, device of real or personal property so acquired shall be held, by the County, used, and disposed of in accordance with the terms under which such grant, gift or device is made and accepted. (5) Advise in the construction, equipping, opet~tion, and maintenance of parks, playgrounds, recreation centers and all buildings and structures necessary or useful to Department function, and advise in regard to other park and recreation facilities which are owned or controlled by the County or leased or loaned, to the County. ARTICLE V. OFFICERS AND THEIR DUTIES A. Election. The Advisory Board shall elect the following officers: Chairman, Vice-Chairman, and such other officers and assistant officers as may from time to time be deemed necessary. The Director of Parks and Recreation shall serve as Secretary to the Advisory Board. The election of officers shall take place at the meeting of the Advisory Board held in June of each year. New officers shall take office at the next regular meeting of the Board. Each officer elected must be a member of the Advisory Board. B. Term of Office and Qualifications. Each officer shall hold office from July 1 of each year until June 30 of the following year or until his successor shall have been duly chosen and qualified or until his death or until he shall resign, have been disqualified or have been removed from office. C.Removal and Resignation. Any officer elected or appointed may be removed by the Advisory Board whenever in their judgement the be~t interest of the Board will be served. Any officer may resigrt at any time by giving written notice to the Advisory Board, the Chairman or the Secretary. Such resignation shall take effect upon acceptance by the Advisory Board. D. Vacancies. A vacancy in any office may be filled by election by the Advisory Board. The officer appointed to such vacancy shall serve for the remainder of the term of the officer he replaces. E. Multiple Officers. No person shall simultaneously hold more than one of the offices required by these By-Laws. By-Laws Page 5 F.' Duties. The duties of the officers are "as follows: 1. Chairman The Chairman shall be the principal executive officer of the Board and, subject to control of the Board, shall in general supervise and control all of the business and affairs of the Board. The Chairman shall, when present, preside at all meetings of the Board,. and in general perform all duties incident to the office of Chairman and such other duties as may be prescribed by the Board from time to time. 2. Vice-Chairman - At the request of the Chairman or in his or her absence, or in the event of his or her death, disability, inability or refusal to act, the Vice-Chairman shall perform the duties of the Chairman and when so acting sha~l have all powers of and be subject to all the restriction upon the Chairman. The Vice-Chairman shall perform such duties as from time to time may be assigned to him or her by the Chairman-or by the Board. 3. Secretary - The Secretary (Director) shall: (a) keep the minutes of the meetings of the Board; (b) see that all notices are dUly given in accordance with the provisions of these By-Laws; (c) be custodian of the Board's records; (d) keep a register of the mailing address of each member of the Board which shall be furnished to the Secretary by such members; and (e) in genera.l perform all duties incident to the off ice of Secretary and such other duties as from time to time may be assigned to him by the Chairman or by the Board. ARTICLE VI: COMMITTEES The Executive Committee shall consist of the Chairman, Vice-Chairman, Secretary (Director), and the representative from the Board of County Commissioners. Between meetings of the Board, the Executive Committee is empowered to act on behalf of the Board and is required to notify the Board of those' actions taken by the Exeautive Committee within thirty days after the Executive Committ~e has met. The Board Chairman is authorized to appoint such committees as, in the opinion of the Board, are needed. ARTICLE VII: 1\MENDMENTS These By-Laws may be amended by the affirmative vote of t~o thirds of the members of the Board then holding office at a~ regular or special meeting, subject to the approval of the New , , Hanover County Board of Commissioners. Any amendments upon which the Advisory Board may be called to vote, shall have been presented to the Advisory Board at the prior meeting of -the Advisory Board and' taken under consideration by the Advisory Board for at least thirty (30) calendar days prior to voting on any such amendment. . New Hanover County (County) 1S engaged 1n the construction of the Customs Facility, which capital project involves the construction and/or acquisition of capital assets. 2. County desires to authorize and budget for said capital project in a project ordinance adopted pursuant to North Carolina General Statute $159-13.2, such ordinance to authorize all appropriations necessary for the completion of said project. NOW, THEREFORE, WITNESSETH THAT: 1. This project ordinance is adopted pursuant to North Carolina General Statute $159-13.2. 2. The capital project undertaken pursuant to this ordinance is the construction of the customs facility, which capital project is herewith authorized. 3.
