On April 16, the project architect recommended to the Hospital Expansion and Finance Committees the acceptance of all of the bidding alternates with the exception of alternate #6 He then recommended the acceptance of the apparent low bidders as follows General Contractor - D R. A11en and Son, Inc - Base bid and acceptance of alternates G-1, 2, 3, 4, 5, 7, 8 and 9 - $7,524,900 Plumbing Contractor - Richards and Associates - Base bid plus alternates P-1, 2, 3, 5, 7, 8 and 9 - $687,500 Heating, Ventilating and Air Conditioning Contractor - Lorch Plumbing and Heating, Inc. - Base bid plus alternates HVAC-1, 2, 3, and 5 - $1,780,926. Electrical Contractor - Watson Electrical Construction Company - Base bid plus alternates E-l, 2, 3, 4, 5, 7, 8 and 9 - $1,097,194. Following careful study, these Committees recommended to the Board of Trustees on April 19 that the above bids be recommended for acceptance to the Board of County Commissioners The Board of Trustees took affirmative action; and, therefore, it is my pleasure to convey to you the New Hanover Memorial Hospital recommendation that the Board of County Commissioners accept bids as outlined above. For your convenience, the second attachment will give you a financial summary of existing contracts and contracts to be awarded by the County as well as sources of funds to finance these contracts. Mr. Peter Davis - 2 - April 19, 1976 1n the agreement between New Hanover County and New Hanover Memorial Hospital dated July 30, 1975, which relates to the Hospital's obligation to the County relative to financing the expansion, paragraph numbered 1. on page 2 obligated the Hospital to advance to the County a sum not to exceed $2,768,730. It is now necessary that this agreement be augmented to provide for an additional guarantee in the amount of $500,000 in order to provide for an adequate contingency fund. This additional agree- ment is attached hereto for your consideration On the assumption that the Board of County Commissioners will find these matters in order and agree to sign contracts as recommended above, it is further recommended that letters of intent to award contracts subject to approval of appropriate state and federal agencies be issued to the successful bidders as soon as practicable. We look forward to the construction phase of this project and we very much appreciate the assistance of the County Commissioners and its staff in bringing this phase of the pro- ject to a reality. COUNTY entered into an agreement where'~y the HOSPITAL agreed to advance certain funds to the COUNTY, subject to ~.h.e terms o: said agreement, and WHEREAS, the COUNTY has received bids for the Hospital expansion project, and the low bids received by the COUNTY, plus existing contracts already assumed by the COUNTY under prior assignments, total approximately $12,502,289; and WHEREAS, funds currently available to COUNTY for the Hospital expansion pr_o~ect exceed low bids received by the COUNTY, plus the amount of contracts previously assumed by the COUNTY under prior assignments, by the sum of $114,137; and WI3EREAS, HOSPITAL recommends a contingency in the surn of ap- proximately $614,137 for said project; and L~]HEREAS, the sum of low bids received by COUNTY, plus the sum of contracts previously assumed by the COUNTY under prior assic,nrnents, plus the recommended contingency figure exceeds available funds by the sum of $500,000; and WHEREAS, COUNTY has requested HUSPT"•'~L to guarantee to COUNTY an additional sum of $500,000, if needed to cover contingencies, in order that the COUNTY might proceed to award construction contracts for the Hospital expansion project; and WHEREAS, HOSPITAL has agreed to guarantee said funds to COUNTY, and, pursuant to said agreement, HOSPITAL has assigned the following negotiable time certificates to the COUNTY ,~ (a) North Carolina National Bank negotiable time certificate of deposit #75749 dated February 23, 1976, in the amount of $100,000 maturing May 24, 1976 (b) North Carolina National Bank negotiable time certificate of deposit #75774 dated April 9, 1976, in the amount of $400,000 maturing June 8, 1976 It is mutually agreed and understood between COUNTY and HOSPITAL that the assignment of the aforesaid certificates is upon the following conditions 1 These funds are assigned by the HOSPITAL to the COUNTY in order to cover future contingencies, if any, on the New Hanover Memorial Hospital expansion project, over and above the sums currently available for said project from the County bond issue, the Hill-Burton grant and the University of North Carolina at Chapel Hill capital grant 2 Upon completion of the Hospital expansion project, the balance of said assigned funds shall be promptly returned by the COUNTY to the HOSPITAL. 3 All interest accruing on said sums during the period of this assignment shall accrue to the benefit of New Hanover Memorial Hospital, Inc TN WITNESS WHEREOF, NEW HANOVER MEMORIAL HOSPITAL, INC , has caused this instrument to be executed in its corporate name by its Vice Chairman, and its corporate seal to be hereto affixed, and attested by its Secretary, all pursuant to resolutions duly adopted by the Trustees of NEW HANOVER MEMORIAL HOSPITAL, INC , and NETa HANOVER COUNTY has caused this instrument to be executed in its corporate name by the Chairman of its Board of County Commissioners and attested by the Clerk to said Board, pursuant to resolutions duly and regularly adopted b~~ sai_d Board of County Commissioners ATTEST Secretary NEW HANOVER MEMQi:IAL HOSPITAL, INC By ~..'
