Customer acknowledges and agrees they are responsible for all monies due and owing pursuant to the terms of this contract, whether or not they are covered by insurance and /or receive payment from insurer and for paying their deductible related to the covered claim. Further, Customer understands that a referral to Jarvis by an insurance carrier does not indicate that insurance coverage exists. Customer authorizes and directs their insurer to pay Jarvis direct, and to name Jarvis on all insurance drafts applicable to Work performed by Jarvis. If payment is made directly to Customer by an insurer, it shall be endorsed over to Jarvis within three (3) business days of receipt from insurer. Any and all charges for services not reimbursed by an insurer are the responsibility of Customer to be paid upon completion of the Work. The Customer is responsible for following up with their insurer regarding payment of their claim and for remitting payment in full to Jarvis. Change Orders: Any supplements, additions or changes to the Work or price terms of this Contract must be made with a written Change Order signed by both parties. All additional amounts for change orders are payable by Customer regardless of insurance involvement or will be issued as a credit, as appropriate, to the final invoice. By signing this Agreement, Customer (Insured) authorizes its Insurer, its representatives/agent, homeowner /condominium association, property management or mortgage company to discuss and release any information to Jarvis related to the Work under this Contract, including but not limited to payment history, entitlement to and sum of payment, and any other information as it pertains to property damage claim. (2) Warranty. Jarvis' limited workmanship warranty expires one (1) year from the date of project completion, unless otherwise agreed in a signed writing by the parties or expressly defined as part of Jarvis' program work. This limited warranty applies to covered person or entity subject to the following terms and conditions :(1) satisfaction of contract by Customer, including but not limited to payment terms and (2) receipt of written notice to Jarvis within 30 days after discovery of any claimed defect and before beginning any repair within this warranty period that describes the location and details of the defect to allow Jarvis to inspect the relevant area to determine the cause of the alleged defect. Exclusions: This limited warranty does not cover and is waived by claims or demands of damage /defects resulting from or in any way attributable to: (a) neglect: (b) misuse; (c) abuse; (d) repair or alteration made by anyone other than Jarvis; (e) settlement, structural movement or movement of materials to which installed products are attached; (f) damage from incorrect design of the structure; (g) acts of God including, but not limited to, hurricanes, tomado's, floods, earthquakes, severe weather or natural phenomena, (including, but not limited to, unusual climate conditions); (h) lack of proper or insufficient maintenance; (1) normal wear and tear, and 0) any cause other than workmanship defects attributable to Jarvis. No other express warranty is given by Jarvis. The repair of the subject defect is the exclusive remedy. All other warranties both implied and express, are hereby expressly waived, including any warranty of habitability, merchantability, or fitness for a particular purpose. Any warranty or limited warranty shall exist only as may be provided by the manufacturer of products or materials used in the performance of this Contract, and any claims relating to defective materials should be made directly to the manufacturer of such materials as slated in its written warranty. (3) Default. In the event of a default by Customer of any obligations in this Contract, upon notice to Customer, Jarvis may suspend its Work until default has been cured, terminate some or all of Jarvis's obligations under this Contract, and/or seek to recover all amounts due under this Contract. Within ten (10) days after execution of this Contract, Jarvis shall have the right to cancel this Contract should it be determined that there is any uncertainty that all payments due under this Contract will be made when due or that an a has been made in computing the cost of completing the work. (4) AcceotancelDamages. After a reasonable time from the substantial completion of the services by Jarvis, acceptance of its work by Customer shall be presumed and all complaints waived. Jarvis is not responsible for any delays, damages, losses or lost profits occasioned by Customer, its agents, employees, guests, family members, acts of God, inclement weather, strikes, lockouts, boycotts, extra work ordered by Customer, war, terrorism, inability to secure materials through regular recognized channels, failure of Customer to make payments when due, delays caused by inspections, changes ordered by inspectors, or other causes beyond its reasonable control. All claims for other damages or losses, including but not limited to incidental, consequential, exemplary, or punitive damages or awards are also hereby expressly waived. (5) Site conditions. Jarvis is not responsible for or obligated to correct any deterioration in conditions of the Premises or its contents, which occur prior to its actual commencement of Work, discovery of remediation of any existing illegal conditions or nonconforming prior work done by others, or any unusual or abnormal conditions. Jarvis is also not responsible for damage to pipes, wiring, sprinkler lines, power lines, water or sewage disposal systems, conduits, or any other underground structures or items. Jarvis, its employees, agents or subcontractors, shall not be held responsible for damage to driveways, walks, lawns, or other vegetation, satellite dishes, swimming pools, hot tubs, appliances, computer equipment, or trees by vehicles, workers, equipment, dumpster placement, materials, or debits, incurred during or from the performance of work. The time during which Jarvis is delayed in its work as the result of any of the above shall be added to the time for completion by a fair and reasonable allowance. (6) Indemnification / Environmental Hazards. Customer shall hold harmless and indemnify Jarvis from any liability, including injuries, damages, expenses and attorney fees resulting from claims for personal injury and property damage (including loss of use thereof) arising out of the performance of the work under this Agreement resulting in claims or lawsuits that may be brought against Jarvis, except if a court of competent jurisdiction determines that such matters are caused solely and exclusively by the negligence of Jarvis or its authorized employees acting within the scope and course of their employment. Further,'Customer agrees that Jarvis is not liable for and shall hold Jarvis harmless for all claims, damages or costs arising out of the presence, discovery, failure to discover, remove, remediate, or cleanup environmental or biological hazards, such as, but not limited to mold, fungus, waste, asbestos, except to the extent that it is expressly covered by Customer's policy of insurance. (7) Severability/Entire Agreement. If any term or provision of this Agreement is invalid, illegal, or unenforceable such term or provision shall be deemed severable and the remainder of the terms and provisions of the agreement shall remain valid and binding. The waiver of, or failure to enforce, any provision of this Contract by Jarvis with regard to any specific instance shall not affect Jarvis's right to demand compliance with or enforce such term, provision or clause of this Contract at a subsequent time, nor shall same establish a binding course of dealing. This document is the entire agreement between the parties. Customer has not signed this Agreement in reliance upon any promise, condition or representation not contained within the Agreement, and this Agreement supersedes all prior and contemporaneous agreements, understandings, and negotiations. No waivers, modifications, amendments, changes or alterations to this Agreement shall be deemed effective unless in writing and signed by both parties.
