I, LUCIE F. SMITH, Clerk of the Board of
Commissioners of the County and of the District hereinafter
described, DO HEREBY CERTIFY, as follows:
1. A special meet ing of the Board of Com-
missioners of the County of New Hanover, in the State of
North Carolina, sitting as the governing body of the New
Hanover County Water and Sewer District, was duly held on
March ~, 1984, proper notice of such meeting having been
given as required by North Carolina statutes, and minutes of
said meeting have been duly recorded in the Minute Book kept
by me in accordance with law for the purpose of recording
the minutes of said Board.
2. I have compared the attached extract with
said minutes so recorded and said extract is a true copy of
said minutes and of the whole thereof insofar as said
minutes relate to matters referred to in said extract.
3. Said minutes correctly state the time when said
meeting was convened and the place where such meeting was
held and the members of said Board who attended said meeting.

EXTRACTS FROM MINUTES OF BOARD OF COMMISSIONERS OF
NEW HANOVER COUNTY, SITTING AS THE GOVERNING BODY
OF NEW HANOVER COUNTY WATER AND SEWER DISTRICT
The Board of Commissioners of New Hanover County,
sitting as the Governing Body of the New Hanover County Water
and Sewer District, met in Special Session on Monday, March 26,
1984, at 9:00 a.m., in the Assembly Room, ,New Hanover County
~dministration Buildi~g~!320 Chestnut Street, Wilmington,
North Carolina.
Members present were:
Claud O'Shields, Jr., Chairman of
Board of District Commissioners;
JonatHan Barfield, Sr.; Donald P. Blake;
Karen E. Gottovi; and Nolan O'Neal.
No members were absent.

The Clerk of the Board of Commissioners and of
the District placed before the Board of Commissioners,
sitting as the governing body of the District, a Certificate
of Canvass of the New Hanover County Board of Elections
certifying to the Board of Commissioners, sitting as the
governing body of the District, the results of the Special
Election held in the New Hanover County Water and Sewer
District on March 6, 1984. The Certificate was read and
considered.
Commissioner Blake
moved the adoption of the

WHEREAS, the Board of Commissioners, sitting as
the governing body of the District, has considered the
Certificate of Canvass of the New Hanover County Board
of Elections canvassing the referendum held in the New
Hanover County Water and Sewer District on March 6, 1984
and certifying the result thereof to the Board of
Commissioners, sitting as the governing body of the
District, and has canvassed the result of said Special
Election; NOW, THEREFORE,
BE IT RESOLVED by the Board of Commissioners
of the County of New Hanover, sitting as the governing body
of the New Hanover County Water and Sewer District, that it
be and hereby is certified and declared that the number of
voters registered and qualified to vote at said Special
Election was 24,909.
FURTHER RESOLVED, that it be and hereby is cer-
tified and declared that the total number of voters who
voted "YES" in answer to the question, "SHALL the order
authorizing $46,000,000 of bonds secured by a pledge of the
faith and credit of the New Hanover County Water and Sewer
District to pay capital costs of providing sanitary sewer
collection facilities and waste water treatment facilities,
including the acquisition and construction of lines, force
mains and interceptors and including the acquisition and
installation of equipment and machinery required therefor
and the acquisition of land or rights-in-land required
therefor, and a tax to be levied for the payment thereof be

approved?", was 3,897. The total number of voters who voted
"NO" in answer to such question was 2,599.
FURTHER RESOLVED, that a statement substantially
in the form hereinafter set forth declaring the result
of said election shall be prepared, delivered to the Clerk
of the Board of Commissioners and of the District for filing
and recordation and published in accordance with law:

STATEMENT OF RESULT OF SPECIAL ELECTION HELD
IN THE NEW HANOVER COUNTY WATER AND SEWER DISTRICT
ON MARCH 6, 1984
WHEREAS, by direction of the Board of Commissioners
of the County of New Hanover, sitting as the governing body
of the New Hanover Water and Sewer District, in the State of
North Carolina, a special election was duly called and held in
said District on March 6, 1984 for the purpose of submitting
to the qualified voters of said District the question herein-
after set forth, and the said Board of Commissioners, sitting
as the governing body of the New Hanover County Water and
Sewer District, has received from the New Hanover County
Board of Elections a certification of the results of the
election, and has determined the result of said election to
be as hereinafter stated; NOW, THEREFORE,
The Board of Commissioners, sitting as the gov-
erning body of the New Hanover County Water and Sewer
District, hereby makes the following statement of the result
of said election pursuant to The Local Government Bond Act:
(1) The number of voters registered and qualified
to vote at said election was 24,909.
(2) The total number of voters who voted "YES"
in answer to the question, "SHALL the order authorizing

OF' THE NEW HANOVER COUNTY WATER AND SEWER DISTRICT
RESOLVED, that the minutes of the following named
meetings of the Board of District Commissioners of the New
Hanover County Water and Sewer District be amended to include
references to specific exhibits and that such exhibits be placed
in a designated section of the official minutes of said District,
as follows:
(1) In the minutes of the August 1, 1983, Special Meeting,
the first paragraph of the section entitled "Discussion--Notice
of Intention to Apply to the Local Government Commission for
Approval of Bonds," as found on Page 5 of the official minutes of
said District, is amended by the addition of the following
language: "A copy of the Notice of Intention is incorporated in
these minutes as an exhibit, found in Exhibit Book 1, at Page 1."
(2) In the minutes of the August 15, 1983, Special Meeting,
the section entitled "Filing of Debt Statement," as found on Page
6 of the official minutes of said District, is amended by the
addition of the following language: "A copy of the Statement of
Debt is incorporated in these minutes as an exhibit, found in
Exhibi t Book 1, at Page 20 Ii
(3) In the minutes of the December 12, 1983, Special
Meeting, the section entitled IIApproval of Publication of Bond
Order with Notice of Public Hearing To Be Held on December 19,
1983," as found on Page 23 of the official minutes of said
District, is amended by the insertion, following the first
paragraph of that section, of the following paragraph:
IIA full account of the introduction of the
Order, the call for public hearing thereon,
resolutions of the Board relating thereto
incorporated in these minutes as an exhibit, found
Exhibit Book 1, at Page 30 A copy of the Statement
Debt is also incorporated in these minutes as
