RESOLUTION
OF THE
BOARD OF COMMISSIONERS
OF
NEW HANOVER COUNTY
WHEREAS, after due advertisement, bids were received and
publicly opened by the Finance Department at 10:30 a.m. on the
26th day of April, 1994, at the County Administration Building, 320
Chestnut Street, Wilmington, North Carolina, and the following bids
were received for an IBM 9345-B22 Disk Drive for the M.I.S.
Department, Bid # 94-0294:
IBM Corporation (Eastern Technology
Associates, Inc. acting as agent)
$24,796.20
AND WHEREAS, the M.I.S. Department, the Finance Director and
the County Manager recommend that the contract be awarded to IBM
Corporation, a foreign corporation organized under the laws of the
state of New York, the only responsible bidder, in the amount of
Twenty-four Thousand Seven Hundred Ninety-six Dollars and Twenty
Cents ($24,796.20);
AND WHEREAS, funds have been previously appropriated and are
now in Account No. 110-410-4132-1000-6400 to cover this contract;
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of New Hanover County that the contract for an
IBM 9345-B22 Disk Drive for the M.I.S. Department, Bid # 94-0294 be
awarded to IBM Corporation in the amount of Twenty-four Thousand
Seven Hundred Ninety-six Dollars and Twenty Cents ($24,796.20); and
that the County is hereby authorized and directed to execute the
amendment to existing contract with IBM, contract # 91-0039
previously approved by the Board of Commissioners.

WHEREAS, the attached petition has been filed with the Board of County
Commissioners of the County of New Hanover requesting that the above described
road(s), the location of which has been indicated in red on the attached map, be
added to the Secondary Road System; and
WHEREAS, the Board of County Commissioners is of the opinion that the above
described road(s) should be added to the Secondary Road System, if the road(s)
meets minimum standards and criteria established by the Division of Highways of
the Department of Transportation for the addition of roads to the System.
NOW, THEREFORE, be it resolved by the Board of Commissioners of the County
of New Hanover that the Division of Highways is hereby requested to review the
above described road(s), and to take over the road(s) for maintenance if they
meet established standards and criteria.

CAPITAL IMPROVEMENT PLAN-NEW HANOVER COUNTY SCHOOLS
BE IT ORDAINED, by the Board of Commissioners of New Hanover
County:
1.
New Hanover County (County) is
engaged in the
Construction of Capital Improvements for New Hanover County
Schools, which capital project involves the construction and/or
acquisition of capital assets.
2. County desires to authorize and budget for said capital
project in a project ordinance adopted pursuant to North Carolina
General Statute $159-13.2, such ordinance to authorize all
appropriations necessary for the completion of said project.
NOW, THEREFORE, WITNESSETH THAT:
1. This project ordinance is adopted pursuant to North
Carolina General Statute $159-13.2.
2. The capital project undertaken pursuant to this
ordinance is the Construction of Capital Improvements for New
Hanover County Schools which project is herewith authorized.

EXTRACTS FROM MINUTES OF BOARD OF COMMISSIONERS
The Board of Commissioners of the County of New
Hanover, North Carolina, met in regular session in the Assembly
Room, Old County Courthouse Building, Wilmington, North Carolina,
the regular place of meeting, at 9:00 o'clock, A.M., on May 16,
1994. The following Commissioners were:

The Chairman stated that The New Hanover County
Industrial Facilities and Pollution Control Financing Authority
entered into a Memorandum of Inducement and Intent on June 19,
1992 with Occidental Chemical Corporation whereby the Authority
determined to issue its revenue bonds in the principal amount of
not more than $6,000,000 (the "Bonds") to finance all or a
portion of the cost of the solid waste disposal project described
below for Occidental Chemical Corporation. The Chairman
submitted copies of the Memorandum of Inducement and Intent to
the Board. The Chairman then stated that a notice had been
published on April 30, 1994 that the Board would hold public
hearings on May 16, 1994 on the proposed project and the issuance
of revenue bonds to finance the project.
Commissioner Mathews moved that the Board proceed to
hold a public hearing on the solid waste disposal project and the
issuance of revenue bonds by the Authority to finance the
project. The motion was seconded by Commissioner Barone
and was adopted unanimously.
At lO:40o'clock, A.M., the Chairman announced that the
Board would hear anyone who wished to be heard on the
advisability of the proposed project and the issuance of revenue
bonds to finance the project and that a representative of the
Authority was present and was prepared to discuss the details
concerning the proposed project and bond issue.
The names and addresses of the persons who were present
and summaries of their oral comments are se~ forth below:
Wallace Murchison, Wilmington, North Carolina, attorney
for The New Hanover County Industrial Facilities and Pollution
Control Financing Authority, stated that the public hearing on the
solid waste disposal project for Occidental Chemical Corporation
was essentially a second hearing on the same project, the first
hearing having occurred in the surr~er of 1992. He stated that the
bond Authority's bonds are solely paid out of revenues from
industry and are not part of the taxing authority of the county or
the state government, that the revenue bonds in question were in an
amount of not more than $6,000,000 to finance a solid waste
disposal project for Occidental. He introduced Mr. Gene Renzaglia,
Plant Manager of Occidental Chemical Corporation, Castle Hayne,
North Carolina to describe the project.
Mr. Renzaglia said that the project would include the
capping of a 16 acre lagoon that has been in existence since 1971,
that a semi-permeable liner would be used to capture the waters
occurring naturally, primarily rainwater, and that the state was
requesting that the lagoon be capped so that there would be no
intrusion into the groundwater of any of the salts or oxides
previously placed in the lagoon. He explained that there would be
layer of stabilizing material over the lagoon, then a semi-
permeable liner, and on top of the liner topsoil with natural
grasses.
The Chairman asked if any members of the public wished to
comment, and there being no comments, he closed the public hearing.

Commissioner Barone then introduced the following
resolution:
WHEREAS, the Board of County Commissioners has created a
political subdivision and body corporate and politic of the State
of North Carolina known as "The New Hanover County Industrial
Facilities and Pollution Control Financing Authority" (the
"Authority"); and
WHEREAS, the Authority is authorized under the Industrial
and Pollution Control Facilities Financing Act, Chapter 159C of the
General Statutes of North Carolina, as amended (the "Act"), to
issue revenue bonds for the purpose, among others, of paying all or
any part of the cost of any industrial or pollution control project
for industry, to acquire, construct and equip any such project, to
issue revenue refunding bonds, and to make and execute financing
agreements, security documents and other contracts and instruments
necessary or convenient in the exercise of such powers; and
WHEREAS, the Authority has determined to issue its
revenue bonds in the principal amount of not more than $6,000,000
(the "Bonds" ) to pay all or a portion of the costs of the
acquisition, construction and installation of solid waste disposal
facilities at Occidental Chemical Corporation's chrome plant
located off State Road 1002 in Castle Hayne, New Hanover County,
including, but not limited to, the closure of an approximately 16-
acre landfill/lagoon, recovery wells, pumps and property
functionally related and subordinate thereto (the "Project") to be
owned and operated by Occidental Chemical Corporation; and
WHEREAS, the Authority intends to file an application for
approval of the Project with the Secretary of the Department of
Commerce (the "Department"), as required by the Act; and
WHEREAS, the Department has, by regulation, provided that
no application for approval of a project will be officially
received until the elected board of county commissioners of the
county from which the application is made has, by resolution after
a public hearing, approved the issue of revenue bonds and approved
in principle the proposed project and a certified copy of such
resolution has been provided to the Department; and
WHEREAS, pursuant to Section 147(f) of the Internal
Revenue Code of 1986, as amended, the issuance of the Bonds must be
approved, after a public hearing, by the governmental unit on
behalf of which the Bonds are being issued; and

WHEREAS, the Board of County Commissioners, pursuant to
public notice duly given, has held a public hearing on the
advisability of the Project and the issuance of the Bonds to
finance the Project and has considered the comments of persons
who requested to be heard; and
WHEREAS, the Authority has applied on behalf of the
Project for an allocation of the private activity bonds volume
limitation for the State of North Carolina for the calendar' year
1994 pursuant to Section 146 of the Internal Revenue Code of
1986, as amended, and the Authority and the Board of County
Commissioners understand that such allocation may be used only
for the Project and that, to the extent that the face amount of
the Bonds issued by the Authority to finance the Project is less
than said allocation, such excess allocation shall revert to the
State of North Carolina; and
WHEREAS, the Board of County Commissioners desires to
approve the Project in principle and the issuance of the Bonds to
finance the Project; and
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of the County of New Hanover as follows:
(1) The Project is hereby approved in principle.
(2) The issuance of the Bonds by the Authority in an
aggregate principal amount of not more than
$6,000,000 to finance the Project is hereby
approved.

The clerk of the Board of commissioners is hereby
authorized and directed to provide a certified
copy of this resolution to the Department.
This resolution shall take effect immediately upon
its passage.

New Hanover County has made progress in education, employment, housing,
and transportation for persons with disabilities who live therein. With the passage
of the Americans with Disabilities Act, New Hanover County looks forward to taking
the necessary steps for full integration of persons with disabilities in our society and
an increased awareness of their many capabilities.
Persons with disabilities are a valuable resource. We in New Hanover County
reaffirm our commitment to them and will continue to provide opportunities so that
persons with disabilities can be independent, productive, and involved citizens in our
county.
Now, therefore, be it resolved that the New Hanover County Board of
Commissioners does hereby proclaim May 1994 as National Disability Awareness
Month in New Hanover County and encourage our citizens to participate in activities
