PARTIES The parties to this Memorandum of Agreement (MOA) are: North Carolina Department of Public Safety, Division of Emergency Management, "NCEM", and the New Hanover County Fire and Rescue "NHCFR." H. PURPOSE NCEM will enter into an agreement to loan one (1) 2008 Ford F550 Crew Cab, 4wd chassis with a hydraulic tilt bed to NHCFR to be used on -scene by first responders and state personnel to prepare for threatened or actual, major disasters, and other emergencies to protect human life, property, and the environment. The vehicle will also be used to support the State Search and Rescue Program. This memorandum of agreement details the roles and responsibilities of each agency to properly use and maintain the equipment being loaned. III. AUTHORITY The parties enter into this MOA under the authority of Article 6 of the North Carolina Emergency Management Act, as amended, Chapter 166A of the North Carolina General Statutes, N.C. Gen. Stat. § 166A-66 and 166A-67. IV. BACKGROUND The NHCFR is an integral part of North Carolina's emergency response program. Strategically located in North Carolina's Eastern Region, the County of New Hanover serves as a hub for regional emergency response activities and is the sponsoring agency with NC Emergency Management Search and Rescue Taskforce 11. V. DUTIES & RESPONSIBILITIES OFNCEM NCEM agrees to: A. Temporarily loan the NHCFR one (1) 2008 Ford F550 Crew Cab, 4wd chassis with a hydraulic tilt bed; B. Conduct annual inventory of the truck during the annual scheduled fixed asset inventory for other state equipment currently on loan; and Page 1 of 4 DocuSign Envelope ID: 7E718EAC-0862-4149-96EC-A21FB5B43106 C. Consider and approve when deemed appropriate, vehicle modifications at the request of NHCRF. VI. DUTIES AND RESPONSIBILITIES OF COUNTY OF NEW HANOVER FIRE RESCUE The County of NHCFR agrees to: A. Store one (1) 2008 Ford F550 Crew Cab, 4wd chassis with a hydraulic tilt bed, within the County of New Hanover; B. Obtain and maintain vehicle lability insurance policy on the vehicle and provide comprehensive coverage from county funds; C. Use the truck as needed during a state or local emergency and document such use as long as use is not as a primary response vehicle or commuting vehicle; D. Maintain participation in the NC Search and Rescue Program and deploy the truck to other counties as directed bythe NCEM; E. Maintain the truck and all resources within in good working order in accordance with manufacturer and county preventative maintenance guidelines to include annual vehicle inspection, all maintenance records shall be maintained using the state iCAM inventory management system; F. Receive approval prior to any modifications to supplied vehicle outside of required maintenance; G. Assist NCEM in the annual fixed asset inventory process when requested; and H. Return the truck, in the same condition outside of routine wear and tear, as issued back to NCEM per the termination clause of this agreement. VII. FUNDING AND COMPENSATION Maintenance, inventory, upkeep and operation of the one (1) 2008 Ford F550 Crew Cab, 4wd chassis with a hydraulic tilt bed, loaned, all resources within, and all costs associated thereof are the responsibility of the NHCFR. Additionally, NHCFR shall be eligible to bill third parties to include NCEM for reimbursement of its use during declared disasters per the current FEMA Equipment Rate Schedule during the disaster period. VIII. MODIFICATION OF THE AGREEMENT Modifications of this agreement must be in writing and upon approval of both parties. UL PROPERTY All property furnished under this agreement is the property of NCEM. The NHCFR is Page 2 of 4 DocuSign Envelope ID: 7E718EAC-0862-4149-96EC-A21 F135643106 responsible for the custody and care of any property furnished for use in connection with the performance of this agreement. NCEM will not be held responsible for any equipment, parts or services purchased by the NHCFR. X. COMMUNICATIONS To provide consistent and effective communication between the NHCFR and NCEM, each party shall appoint a Principal Representative(s) to serve as its central point of contact responsible for coordinating and implementing this MOA. The NCEM contact shall be Mr. Brian Barnes, Emergency Services Branch Manager. The NHCFR contact shall be Chief Rudolph Shackelford. XI. COMPLIANCE WITH THE LAW The NHCFR shall be responsible for compliance with all laws, ordinances, codes, rules, regulations, licensing requirements and other regulatory matters that are applicable to the requirements performed under this MOA, including those of federal requirements and State and local agencies having appropriate jurisdiction. XII. WARRANTY The NHCFR shall hold the Grantee harmless for any liability and personal injury that may occur from or in connection with the performance of this MOA to the extent permitted by the North Carolina Tort Claims Act. XIII. ANTITRUST LAWS This Agreement is entered into in compliance with all State and Federal antitrust laws. XIV. TERMINATION This MOA may be terminated upon submission of a 30 -day advance written notice of termination. All state property should be returned within 15 -day of termination. XV. ENTIRE AGREEMENT This Agreement and any exhibits and amendments annexed hereto and any documents incorporated specifically by reference represent the entire agreement between the parties and supersede all prior oral and written statements or agreements. The date of execution shall be the date of the last signature which shall be that of Mr. Michael Sprayberry, Director, North Carolina Division of EmergencyManagement.
