Forensic Lab
BRIEF SUMMARY:
New Hanover County Sheriff's Office has been offered a donation of a Thermo Trace 1310 Gas Chromatograph
instrument from Iredell County Sheriff's Office. This instrument would be used primarily for the analysis of blood
samples in DWI cases. The lab currently has one other identical system. The additional instrument will allow the lab to
increase testing capacity. Downtime for these instruments is not uncommon and the addition will also mitigate this
issue. The estimated value is $50,000. A budget amendment will be included to record for accounting purposes.

RESOLUTION TO ACCEPT DONATION OF A GAS CHROMATOGRAPH INSTRUMENT
WHEREAS, the Iredell County Sheriff's Office has offered to donate to the New Hanover County
Sheriff's Office a Thermo Trace 1310 Gas Chromatograph with Dual Flame Ionization Detectors and
Triplus Autosampler with an approximate value totaling $50,000, specifications:

• Date acquired: FY23-24
• Value: $50,000; and
WHEREAS, the New Hanover County Sheriff's Office would like to accept this donation of the Thermo
Trace 1310 Gas Chromatograph to be used for the analysis of blood samples in DWI cases; and
WHEREAS, a budget amendment for accounting purposes only is required to record the value of the
donations and said budget amendment is attached as part of this resolution.
NOW, THEREFORE, BE IT RESOLVED, by the New Hanover County Board of Commissioners that the
items named above are accepted, the budget amendment and resolution are adopted, and county
staff is directed to process any required documents to finalize the transaction.

Adoption of Resolution Authorizing Execution of Opioid Settlements and Approving the Supplemental Agreement
for Additional Funds Between the State of North Carolina and Local Governments on Proceeds Relating to the
Settlement of Opioid Litigation
BRIEF SUMMARY:
The North Carolina Attorney General's Office is requesting that New Hanover County take additional action to secure
additional opioid settlement funds in addition to the big "three" drug distributors plus Johnson & Johnson ("Wave One
Settlements"). NC Attorney General Josh Stein has negotiated new settlements with CVS, Walgreens,
Walmart, Allergan and Teva ("Wave Two Settlements"). These Wave Two Settlements have the potential to bring
significantly greater resources to New Hanover County to address the opioid epidemic. North Carolina's state and
local governments stand to receive more then $600 million for the Wave Two Settlements in addition to the more than
$750 million the governmental entitles are receiving from the Wave One Settlements.
The state will receive its full share of the payments from Wave Two Settlements only if all eligible governments,
including New Hanover County, finalize the Wave Two Settlements, and only if the vast majority of local governments
across the nation sign onto them as well.
New Hanover County stands to receive between $14 and $18 million dollars with this settlement agreement. The first
settlement is approximately $18 million.

NEW HANOVER COUNTY BOARD OF COMMISSIONERS
RESOLUTION AUTHORIZING EXECUTION OF OPIOID SETTLEMENTS AND APPROVING THE SUPPLEMENTAL AGREEMENT
FOR ADDITIONAL FUNDS BETWEEN THE STATE OF NORTH CAROLINA AND LOCAL GOVERNMENTS ON PROCEEDS
RELATING TO THE SETTLEMENT OF OPIOID LITIGATION
WHEREAS, the opioid overdose epidemic had taken the lives of more than 32,000 North Carolinians (2000-2021); and
WHEREAS, the COVID-19 pandemic has compounded the opioid overdose crisis, increasing levels of drug misuse, addiction,
and overdose death; and
WHEREAS, the Centers for Disease Control and Prevention estimates the total economic burden of prescription opioid misuse
alone in the United States is $78.5 billion a year, including the costs of healthcare, lost productivity, addiction treatment, and
criminal justice involvement; and
WHEREAS, certain counties and municipalities in North Carolina joined with thousands of local governments across the
country to file lawsuits against opioid manufacturers, pharmaceutical distribution companies, and chain drug stores to hold
those companies accountable for their misconduct; and
WHEREAS, settlements have been reached in litigation against Walmart, Inc., Teva Pharmaceutical Industries Ltd., Allergan
Finance, LLC, Allergan Limited, CVS Health Corporation, CVS Pharmacy, Inc., and Walgreen Co., as well as their subsidiaries,
affiliates, officers, and directors named in these settlements; and
WHEREAS, representatives of local North Carolina governments, the North Carolina Association of County Commissioners,
and the North Carolina Department of Justice have negotiated and prepared a Supplemental Agreement for Additional Funds
(SAAF) to provide for the equitable distribution of the proceeds of these settlements; and
WHEREAS, by joining the settlements and approving the SAAF, the state and local governments maximize North Carolina's
share of opioid settlement funds to ensure the needed resources reach communities, as quickly, effectively, and directly as
possible; and
WHEREAS, it is advantageous to all North Carolinians for local governments, including New Hanover County and its residents,
to sign onto the settlements and SAAF and demonstrate solidarity in response to the opioid overdose crisis, and to maximize
the share of opioid settlement funds received both in the state and the New Hanover County to help abate the harm; and
WHEREAS, the SAAF directs substantial resources over multiple years to local governments on the front lines of the opioid
overdose epidemic while ensuring that these resources are used in an effective way to address the crisis.
NOW, THEREFORE, BE IT RESOLVED, that the New Hanover County Board of Commissioners has hereby authorized and
empowered the county manager to execute all documents necessary to enter into opioid settlement agreements with
Walmart, Walgreens, CVS, Allergan, and Teva, to execute the SAAF, and to provide such documents to Rubris, the
Implementation Administrator.

Second Reading: Approval of Solid Waste Franchise for T&T Disposal LLC
BRIEF SUMMARY:
New Hanover County requires a county issued franchise to collect solid waste. Pursuant to County Ordinance 44.55,
the applicant has provided information about business organization, equipment, personnel, and fiscal responsibility.
The Environmental Management Director has no objection to the franchise request. The franchise period would run
for seven years.
All franchise agreements shall now include the following requirements: Should franchisee provide curbside collection
for services; franchisee must also offer customers a curbside recycling option.
Staff has reviewed only for compliance with the County Code. Prospective customers of any hauler must make their
own determination as to suitability of provider and services.
There are currently 22 active franchise agreements awarded by New Hanover County.
The first reading was unanimously approved on March 6, 2023.

STATE OF NORTH CAROLINA AWARD OF FRANCHISE AGREEMENT
FOR
COUNTY OF NEW HANOVER SOLID WASTE SERVICES
THIS FRANCHISE AGREEMENT made and entered into this the day of
2023, by and between NEW HANOVER COUNTY, North Carolina, a political
subdivision of the State of North Carolina, hereinafter called "County" T&T DISPOSAL LLC,
a North Carolina limited liability company, with its principal mailing address 1867 NC Highway
210 West, Hampstead, North Carolina, hereinafter called "Operator."
WITNESSETH
WHEREAS, the County has, through the power granted to it under G.S. 153A-136,
adopted an ordinance regulating the collection and disposal of solid wastes and requiring that
all waste haulers have a license and a franchise in order to operate in the County, in order to
provide the residents and commercial customer of the County with reliable, environmentally
sound waste disposal now and in the future; and
WHEREAS, Operator has contracted with commercial and/or residential customers
located in New Hanover County in order to provide solid waste collection and disposal; and
NOW THEREFORE, in consideration of the mutual benefits inuring to the parties
hereto and based upon the mutual covenants contained herein and the considerations stated
herein, the parties do hereby covenant and agree, and County hereby conveys a non-
exclusive franchise to Operator, to collect and dispose of solid wastes to commercial and/or
residential customers in the County. The parties therefore agree to the following terms and
conditions:
1. Terms of Agreement. The initial term of this Franchise Agreement shall be seven
(7) years from the date of signing. The Franchise may automatically renew and
extend for a subsequent seven (7) year term, contingent upon County
Commissioners approval pursuant to G.S. 153A-46.
2. Scope of Services. For the term of this Franchise Agreement, Operator agrees to
provide commercial and/or residential customers with solid waste collection and
transportation to County -approved disposal sites.
3. Disposal at County -Approved Facilities. Operator agrees to dispose of all waste
collected in the County, as part of this franchise agreement, at County -approved
facilities consistent with State law. With regard to County -approved facilities, said
approval must be obtained by Operator prior to the disposal at said facilities, and
said approval shall be granted or denied entirely at the discretion of the County.
The County also has the authority to designate which facilities shall be used.
4. Curbside Recycling. Should Operator provide curbside trash collection services,
Operator must also offer customer a curbside recycling option.
5. Administration/Billing. All billing of customers shall remain the responsibility of the
franchisee.
6. Franchise. It is understood and agreed that all of the terms and conditions of New
Hanover County Code Chapter 44, entitled "Solid Waste," pertaining to a franchise

for solid waste collections are incorporated herein by reference and made a part
hereof as if fully set forth, including but not limited to insurance requirements.
7. Personnel and Equipment. Operator shall equip and maintain all vehicles with staff
and equipment to comply with any applicable regulations and laws.
8. Independent Contractor. It is mutually understood and agreed that Operator is an
independent contractor and not an agent of the county, and as such, Operator, its
agents and employees shall not be entitled to any County employee benefits, and
as such, Operator, its agents and employees shall not be entitled to any County
employment benefits, such as, but not limited to, vacation, sick leave, insurance,
workers' compensation, or pension or retirement benefits.
9. Indemnity. To the extent permitted by law, Operator shall indemnify and hold the
County, its agents and employees, harmless against any and all claims, demands,
causes of action, or other liability, including attorneys' fees, on account of personal
injuries or death or on account of property damages arising out of or relating to the
work to be performed by Operator hereunder, resulting from the negligence of or
willful act or omission of Operator, its agents, employees and subcontractors. To
the extent permitted by law, the County shall indemnify and hold the Operator, its
agents and employees, harmless against any and all claims, demands causes of
action, or other liability, including attorneys' fees, on account of personal injuries
or death or on account of property damages arising out of or related to the solid
waste services operated and administered by the County, and resulting from the
negligence of or willful act or omission of the County, its agents, employees, and
subcontractors.
10. Commercial General Liabilitv. Franchise shall maintain Commercial General
Liability (CGL) and if necessary, Commercial Umbrella Liability (CUL) insurance
with a total limit of not less than $1,000,000 for each occurrence for bodily injury
and property damage. If such CGL insurance contains a general aggregate limit,
it shall apply separately to this work or services, or the general aggregate shall be
twice the required limit.
11. Business Auto Liability. Operator shall maintain applicable Business Liability and,
if necessary, Commercial Umbrella Liability insurance with a limit of not less than
$1,000,000 each accident. Such insurance shall cover liability arising out of any
auto, including owned, hired, and non -owned autos used in the performance of
work or services.
12. Assignment, Contracting_ The parties agree that this agreement is not transferable
or assignable by either party without the written consent of the other party to this
agreement. Operator shall not subcontract with another entity to perform the
services described herein without the approval of the County Manager or his
designee.
13. Termination. The franchisee may terminate this franchise upon three hundred
sixty-five (365) days written notice, or less notice with the consent of the County.
The County may only revoke the franchise for cause as set out in Chapter 44,
"Solid Waste," of the New Hanover County Code. This franchise may be modified
or revoked by the County in the event that an ordinance is passed by the Board of

Commissioners creating an exclusive franchise system for residential solid waste
collection in the unincorporated County.
14. Non -Waiver of Rights. It is agreed that County's failure to insist upon the strict
performance of any provision of this agreement or to exercise any right based upon
a breach thereof, or the acceptance of any performance during such breach, shall
not constitute a waiver of any rights under this agreement.
15. Equal Opportunity. In connection with the performance of this agreement,
Operator agrees not to discriminate against any employee or applicant for
employment because of race, religion, color, sex, age, disability, or national origin.
16. Entire Agreement. This agreement constitutes the entire understanding of the
parties with regard to the provision of solid waste collection and disposal. No
modification of rescission of this agreement shall be effective unless evidenced by
a writing signed by both parties to this agreement.
17. E-Verify Compliance. Operator shall fully comply with the U.S. Department of
Homeland Security employee legal status E-Verify requirements for itself and all
its subcontractors. Violation of the provision, unless timely cured, shall constitute
a breach of contract.

for Capital Expenditures From Proceeds Thereof, and Providing for Certain Other Related Matters Thereto Not to
Exceed $25 Million
BRIEF SUMMARY:
The Board of County Commissioners has approved capital project ordinances and capital improvements, including
acquisition of vehicles and equipment for use by various county departments, the construction and development of
Hanover Pines Nature Park, facility replacement for the detective and vice units of the Sheriff's department, and
purchase of real property for use by Cape Fear Community College to expand its nursing and allied health programs.
Substantially all of these outlays were included in the 2023 fiscal year adopted budget or in a subsequent budget
amendment or capital project ordinance. These projects are to be funded through debt proceeds as budgeted and
structured as limited obligation bonds. The county will remain in compliance with its debt policy with the issuance of
this debt.
To move forward with the above mentioned projects, county staff is requesting the approval of a resolution that will
allow the county manager or the chief financial officer, with the advice from the county attorney and bond counsel, be
authorized and directed to proceed and negotiate on behalf of the county the contract for a principal amount not to
exceed $25,000,000 for the financing of the projects. The resolution also confirms the intent of the board to reimburse
itself with debt proceeds the costs of these projects expended before the debt is issued. It is also requested that the
board direct the chief financial officer or his designee to file with the Local Government Commission an application for
its approval of the contract and all relevant transactions contemplated.
The issuance of this debt instrument requires a public hearing. Staff is proposing that the public hearing be conducted
on May 1, 2023 at 4:00 pm, concerning the contract, the deed of trust, the proposed project and any other
transactions contemplated therein and associated therewith. Staff requests that the clerk to the board be directed to
cause a notice of the public hearing, in the form attached as Exhibit A, to be published once in a qualified newspaper of
general circulation within the county no fewer than 10 days prior to the Public Hearing.

RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE COUNTY OF NEW HANOVER, NORTH
CAROLINA, AUTHORIZING THE NEGOTIATION OF AN AMENDMENT TO AN INSTALLMENT
FINANCING CONTRACT, DIRECTING THE PUBLICATION OF NOTICE WITH RESPECT THERETO,
DECLARING THE INTENT OF THE COUNTY TO REIMBURSE ITSELF FOR CAPITAL EXPENDITURES
FROM PROCEEDS THEREOF, AND PROVIDING FOR CERTAIN OTHER RELATED MATTERS
THERETO
WHEREAS, the County of New Hanover, North Carolina (the "County') is a validly existing political
subdivision, existing as such under and by virtue of the Constitution, statutes and laws of the State of North Carolina
(the "State');
WHEREAS, the County has the power, pursuant to the General Statutes of North Carolina to (1) enter into
installment contracts in order to purchase, or finance or refinance the purchase of, real or personal property and to
finance or refinance the construction or repair of fixtures or improvements on real property and (2) create a security
interest in some or all of the property financed or refinanced to secure repayment of the purchase price;
WHEREAS, the County has previously executed and delivered (1) an Installment Financing Contract dated
as of June 1, 2010 (the "2010 Contract") with the New Hanover Financing Corporation (the "Corporation"), the
proceeds of which were used to finance the Projects (as defined in the 2010 Contract), including, among other things,
the acquisition and renovation of a portion of the County's government center complex (the "Government Center")
in 2005 and 2007 and acquisition of the County's judicial building in 2000 and a 5-story expansion of the judicial
building in 2002 (the `Judicial Building"); (2) a Deed of Trust, Security Agreement and Fixture Filing dated as of
June 1, 2010 granting a lien on the sites of the Government Center and the Judicial Building, as modified by (a) a
Notice of Extension of Deed of Trust to Additional Property dated as of February 1, 2020 extending the lien of the
Deed of Trust to the site of the Juvenile Justice Facility (as defined in the Second Contract Amendment), (b) a Deed
of Partial Release dated as of February 1, 2020 releasing the lien on the Government Center from the Deed of Trust,
and (c) a Notice of Extension of Deed of Trust to Additional Property dated as of March 1, 2021 extending the lien
of the Deed of Trust to the site of the New Government Center (as defined in the Third Contract Amendment)
(collectively, the "Deed of Trust"); (3) Amendment Number One to the Contract dated as of September 1, 2012 (the
"First Contract Amendment") with the Corporation, the proceeds of which were used to refinance the 2003 Projects
(as defined in the First Contract Amendment); (4) Amendment Number Two to the 2010 Contract dated as of
February 1, 2020 (the "Second Contract Amendment") with the Corporation, the proceeds of which were used to
finance the 2020A Projects (as defined in the Second Contract Amendment); (5) Amendment Number Three to the
2010 Contract dated as of March 1, 2021 (the "Third Contract Amendment") with the Corporation, the proceeds of
which were used to finance the 2021 Projects and refinance the Refunded 2018 Contract (each as defined in the Third
Contract Amendment); and (6) Amendment Number Four to the 2010 Contract dated as of June 1, 2022 (the "Fourth
Contract Amendment") with the Corporation, the proceeds of which were used to finance the 2022 Projects (as
defined in the Fourth Contract Amendment);
WHEREAS, the Board hereby determines that it is in the best interest of the County to enter into Amendment
Number Five to the 2010 Contract (the "Fifth Contract Amendment" and collectively with the 2010 Contract, the
First Contract Amendment, the Second Contract Amendment, the Third Contract Amendment, and the Fourth
Contract Amendment, the "Contract") with the Corporation to pay the capital costs of (a) acquisition of vehicles and
equipment for use by various County departments, (b) construction and development of Hanover Pines Nature Park,
(c) improvements to various County buildings, (d) expansion of the County's maintenance facility, (e) facility
replacement for the detective and vice units of the Sheriff's department, and (f) purchase of real property for use by
Cape Fear Community College to expand its nursing and allied health programs (collectively, the "2023 Projects");
WHEREAS, the County hereby determines that acquiring the Projects was and is essential to the County's
proper, efficient and economic operation and to the general health and welfare of its inhabitants; that acquiring the
Projects has and will provide an essential use and has and will permit the County to carry out public functions that it
is authorized by law to perform; and that entering into the Fifth Contract Amendment is necessary and expedient for
the County by virtue of the findings presented herein;

WHEREAS, the County hereby determines that the Fifth Contract Amendment would allow the County to
purchase the 2023 Projects and take title thereto at a favorable interest rate currently available in the financial
marketplace and on terms advantageous to the County;
WHEREAS, the County hereby determines that the estimated cost of acquiring the 2023 Projects, including
payment of the costs of execution and delivery, is an amount not to exceed $25,000,000 and that such cost exceeds
the amount that can be prudently raised from currently available appropriations, unappropriated fund balances and
non -voted bonds that could be issued by the County in the current fiscal year pursuant to Article V, Section 4 of the
Constitution of the State;
WHEREAS, although the cost of acquiring the 2023 Projects to the Fifth Contract Amendment is expected to
exceed the cost of acquiring the 2023 Projects pursuant to a bond financing for the same undertaking, the County
hereby determines that the cost of acquiring the 2023 Projects pursuant to the Fifth Contract Amendment and the
obligations of the County thereunder are preferable to a general obligation bond financing or revenue bond financing
for several reasons, including but not limited to the following: (1) the cost of a special election necessary to approve
a general obligation bond financing, as required by the laws of the State, would result in the expenditure of significant
funds; (2) the time required for a general obligation bond election would cause an unnecessary delay which would
thereby decrease the financial benefits of acquiring, constructing, improving and equipping the 2023 Projects; and
(3) insufficient revenues are produced by the Projects so as to permit a revenue bond financing;
WHEREAS, the County has determined and hereby determines that the estimated cost acquiring the 2023
Projects pursuant to the Fifth Contract Amendment reasonably compares with an estimate of similar costs under a
bond financing for the same undertaking as a result of the findings delineated in the above preambles;
WHEREAS, the County does not anticipate a future property tax increase to pay installment payments falling
due under the Fifth Contract Amendment;
WHEREAS, the sums to fall due under the Fifth Contract Amendment will be adequate but not excessive for
its proposed purpose;
WHEREAS, Parker Poe Adams & Bernstein LLP, as bond counsel ("Bond Counsel"), will render an opinion
to the effect that entering into the Fifth Contract Amendment and the transactions contemplated thereby are authorized
by law;
WHEREAS, no deficiency judgment may be rendered against the County in any action for its breach of the
Fifth Contract Amendment, and the taxing power of the County is not and may not be pledged in any way directly or
indirectly or contingently to secure any money due under the Fifth Contract Amendment;
WHEREAS, the County is not in default under any of its debt service obligations;
WHEREAS, the County's budget process and Annual Budget Ordinance are in compliance with the Local
Government Budget and Fiscal Control Act, and external auditors have determined that the County has conformed
with generally accepted accounting principles as applied to governmental units in preparing its Annual Budget
ordinance;
WHEREAS, past audit reports of the County indicate that its debt management and contract obligation
payment policies have been carried out in strict compliance with the law, and the County has not been censured by
the North Carolina Local Government Commission (the "LGC°'), external auditors or any other regulatory agencies
in connection with such debt management and contract obligation payment policies;
WHEREAS, a public hearing on the Fifth Contract Amendment after publication of a notice with respect to
such public hearing must be held, and approval of the LGC with respect to entering into the Fifth Contract
Amendment must be received;
WHEREAS, the County will incur and pay certain expenditures (the "Original Expenditures ") in connection
with the 2023 Projects prior to the date of execution and delivery of the Fifth Contract Amendment, such Original
Expenditures to be paid for originally from a source other than the proceeds of the Fifth Contract Amendment, and

the County intends, and reasonably expects, to be reimbursed for such Original Expenditures from a portion of the
proceeds of the Fifth Contract Amendment; and
WHEREAS, the County hereby determines that all findings, conclusions and determinations of the County in
this Resolution are subject to modification or affirmation after all interested parties have been afforded the
opportunity to present their comments at a public hearing regarding the execution and delivery of the Fifth Contract
Amendment and the Projects financed and refinanced thereby.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE COUNTY OF
NEW HANOVER, NORTH CAR OLINA, AS FOLLOWS:
Section 1. Authorization to Negotiate Fifth Contract Amendment. That the County Manager or the
Chief Financial Officer, with advice from the County Attorney and Bond Counsel, are hereby authorized and directed
to proceed and negotiate on behalf of the County the Fifth Contract Amendment for a principal amount not to exceed
$25,000,000 to finance the 2023 Projects, to be entered into in accordance with the provisions of Section 160A-20 of
the General Statutes of North Carolina, as amended.
Section 2. Application to LGC. That the Chief Financial Officer or his designee is hereby directed to
file with the LGC an application for its approval of the Fifth Contract Amendment and all relevant transactions
contemplated thereby on a form prescribed by the LGC and to state in such application such facts and to attach thereto
such exhibits regarding the County and its financial condition as may be required by the LGC.
Section 3. Direction to Retain Professionals. That the County Manager and the Chief Financial
Officer, with advice from the County Attorney, are hereby authorized and directed to retain the assistance of Parker
Poe Adams & Bernstein LLP, Raleigh, North Carolina, as bond counsel, First Tryon Advisors, Charlotte North
Carolina, as financial advisor, PNC Capital Markets LLC, Charlotte, North Carolina, as underwriter, and U.S. Bank
Trust Company, National Association, as trustee. The County Manager and the Chief Financial Officer are hereby
authorized to retain such other professionals as they deem necessary in their judgment to carry out the transaction
contemplated in this Resolution.
Section 4. Public Hearing. That a public hearing (the "Public Hearing") shall be conducted by the
Board on May 1, 2023 at 4:00 p.m. in the Assembly Room, New Hanover County Courthouse, 24 North Third Street,
Wilmington, North Carolina, concerning the Fifth Contract Amendment, the proposed financing and refinancing, and
any other transactions contemplated therein and associated therewith.
Section 5. Notice of Public Hearing. That the Clerk to the Board is hereby directed to cause a notice
of the Public Hearing, in the form attached hereto as Exhibit A, to be published once in a qualified newspaper of
general circulation within the County no fewer than 10 days prior to the Public Hearing.
Section 6. Repealer. That all motions, orders, resolutions and parts thereof in conflict herewith are
hereby repealed.
Section 7. Reimbursement. The County presently intends, and reasonably expects, to reimburse itself
for Original Expenditures in an amount not to exceed $25,000,000 on or after the date occurring 60 days prior to the
date of adoption of this Resolution from a portion of the proceeds of the Fifth Contract Amendment. The County
adopts this Resolution as a declaration of official intent under Section 1.150-2 of the Treasury Regulations
promulgated under Section 103 of the Internal Revenue Code of 1986, as amended, to evidence the County's intent
to reimburse itself for the Original Expenditures from proceeds of the Fifth Contract Amendment. The Chief
Financial Officer of the County, with advice from bond counsel, is hereby authorized, directed and designated to act
on behalf of the County in determining and itemizing all of the Original Expenditures incurred and paid by the County
in connection with the 2023 Projects during the period commencing on the date occurring 60 days prior to the date
of adoption of this Resolution and ending on the date of the execution and delivery of the Fifth Contract Amendment.
Section 7. Effective Date. That this Resolution is effective on the date of its adoption.

PARKS CONSERVANCY OF NEW HANOVER COUNTY, INC. BOARD OF DIRECTORS
Members: 13; 12 members appointed by the County Commissioners
I County Commissioner Representative
Term of Office: 3-year terms
Qualifications: County resident 18 years of age or more who has a sincere interest and
commitment to the importance of park and recreation services; a willingness to give freely of time
and energy to learn about and to carry out responsibilities; the ability to work well with all other
Board members; complete open-mindedness and respect for varied points of view and
consideration of all Board business; good judgment, intelligence and courage of conviction; a
dedicated interest in the Park and Recreation welfare of all citizens of the county; the capability
of speaking out and articulating parks and recreation needs; the ability to accept and weather
criticism gracefully; the strength to refuse to be intimidated by pressure groups and issues which
are not in the best interest of the whole county; a strong feeling for team work between the
Director, Board of County Commissioners, and other Advisory Board members and a desire to
truly know the community and the recreational needs of all citizens.
Regular Meetings: Third Tuesday at 5:30 p.m. in the Parks Conference Room, County
Government Center, 230 Government Center Drive, Wilmington, NC
Statute or cause creating Board: The New Hanover County Board of Commissioners approved
the establishment of the Parks Conservancy on April 16, 2012; first appointments were made May
20,2013.
Purpose: The general purposes of the Parks Conservancy are as follows:
1. To establish an endowment and receive and distribute monies for prospective funding of
capital improvements at County parks and to encourage the accumulation and
dissemination of knowledge of the history and natural heritage of Southeastern North
Carolina.
2. To arrange for such meetings of Conservancy officers or other interested individuals, as
may be legally necessary or considered desirable in the furtherance of the aims and
purposes of County parks.
3. To encourage and arrange for gifts, grants, bequests, and devises to the Conservancy for
its work in the furtherance of the objectives for which it is organized, and to provide for the
proper expenditure, use, and conservation of all gifts, grants, bequests, and devises so
received.
4. To provide oversight to all internal groups including but not limited to: Volunteers and
special event committees.
5. To foster relationships with other related organizations.
6. To serve as ambassadors for the Parks to the community.
7. To participate in and support Parks events and programs.

Expanded recreational opportunities are going to be needed with the virtual explosion of the population of New Hanover
County and there are certain improvements that will be required for Hanover Pines Nature Park
Conflict of Interest: If a board member believes they have a conflict or potential conflict of interest on a particular issue,
that member should state this belief to the other members of his/her respective board during a public meeting. The
member should state the nature of the conflict, detailing that they have a separate, private, or monetary interest, either

More concerted effort for necessary and progressive funding for the county parks and possible integration with the city parks
system.

have attended a lot of the Park Board meetings for the past two years until sickness and the fear of covid kept me away. I am
a lot better now and in my declining years can hopefully still contribute.

Having lived in Illinois for 20 years, I experienced the value of extensive community park systems and wish
