Second Reading: Approval of Solid Waste Franchise Agreement for Valor Waste Services LLC
BRIEF SUMMARY:
New Hanover County requires a county -issued franchise to collect solid waste. Pursuant to County Ordinance 44.55,
the applicant has submitted information regarding their business organization, equipment, personnel, and financial
responsibility. The Recycling & Solid Waste Director has no objections to the franchise request. The proposed
franchise period would be seven years. The county currently maintains 27 active franchise agreements.
All franchise agreements now include the following requirement: If the franchisee provides curbside collection
services, they must also offer customers a curbside recycling option.
Staff has reviewed the application solely for compliance with the County Code. Prospective customers must
independently determine the suitability of the provider and services.

STATE OF NORTH CAROLINA AWARD OF FRANCHISE AGREEMENT
FOR
COUNTY OF NEW HANOVER SOLID WASTE SERVICES
THIS FRANCHISE AGREEMENT made and entered into this the day of
202 , by and between NEW HANOVER COUNTY, North Carolina, a political
subdivision of the State of North Carolina, hereinafter called "County" and VALOR WASTE
SERVICES, LLC, a North Carolina Limited Liability Company, with its principal mailing
address 1388 Bell Williams Road, Burgaw, NC, 28425, hereinafter called "Operator."
WITNESSETH
WHEREAS, the County has, through the power granted to it under G.S. 153A-136,
adopted an ordinance regulating the collection and disposal of solid wastes and requiring that
all waste haulers have a license and a franchise in order to operate in the County, in order to
provide the residents and commercial customer of the County with reliable, environmentally
sound waste disposal now and in the future; and
WHEREAS, Operator has contracted with commercial and/or residential customers
located in New Hanover County in order to provide solid waste collection and disposal; and
NOW THEREFORE, in consideration of the mutual benefits inuring to the parties
hereto and based upon the mutual covenants contained herein and the considerations stated
herein, the parties do hereby covenant and agree, and County hereby conveys a non-
exclusive franchise to Operator, to collect and dispose of solid wastes to commercial and/or
residential customers in the County. The parties therefore agree to the following terms and
conditions:
1. Terms of Agreement. The initial term of this Franchise Agreement shall be seven
(7) years from the date of signing. The Franchise may automatically renew and
extend for a subsequent seven (7) year term, contingent upon County
Commissioners approval pursuant to G.S. 153A-46.
2. Scope of Services. For the term of this Franchise Agreement, Operator agrees to
provide commercial and/or residential customers with solid waste collection and
transportation to County -approved disposal sites.
3. Disposal at County -Approved Facilities. Operator agrees to dispose of all waste
collected in the County, as part of this franchise agreement, at County -approved
facilities consistent with State law. With regard to County -approved facilities, said
approval must be obtained by Operator prior to the disposal at said facilities, and
said approval shall be granted or denied entirely at the discretion of the County.
The County also has the authority to designate which facilities shall be used.
4. Curbside Recycling. Should Operator provide curbside trash collection services,
Operator must also offer customer a curbside recycling option.
5. Administration/Billing. All billing of customers shall remain the responsibility of the
franchisee.
6. Franchise. It is understood and agreed that all of the terms and conditions of New
Hanover County Code Chapter 44, entitled "Solid Waste," pertaining to a franchise

for solid waste collections are incorporated herein by reference and made a part
hereof as if fully set forth, including but not limited to insurance requirements.
7. Personnel and Equipment. Operator shall equip and maintain all vehicles with staff
and equipment to comply with any applicable regulations and laws.
8. Independent Contractor. It is mutually understood and agreed that Operator is an
independent contractor and not an agent of the county, and as such, Operator, its
agents and employees shall not be entitled to any County employee benefits, and
as such, Operator, its agents and employees shall not be entitled to any County
employment benefits, such as, but not limited to, vacation, sick leave, insurance,
workers' compensation, or pension or retirement benefits.
9. Indemnity. To the extent permitted by law, Operator shall indemnify and hold the
County, its agents and employees, harmless against any and all claims, demands,
causes of action, or other liability, including attorneys' fees, on account of personal
injuries or death or on account of property damages arising out of or relating to the
work to be performed by Operator hereunder, resulting from the negligence of or
willful act or omission of Operator, its agents, employees and subcontractors. To
the extent permitted by law, the County shall indemnify and hold the Operator, its
agents and employees, harmless against any and all claims, demands causes of
action, or other liability, including attorneys' fees, on account of personal injuries
or death or on account of property damages arising out of or related to the solid
waste services operated and administered by the County, and resulting from the
negligence of or willful act or omission of the County, its agents, employees, and
subcontractors.
10. Commercial General Liabilitv. Franchise shall maintain Commercial General
Liability (CGL) and if necessary, Commercial Umbrella Liability (CUL) insurance
with a total limit of not less than $1,000,000 for each occurrence for bodily injury
and property damage. If such CGL insurance contains a general aggregate limit,
it shall apply separately to this work or services, or the general aggregate shall be
twice the required limit.
11. Business Auto Liability. Operator shall maintain applicable Business Auto Liability
and, if necessary, Commercial Umbrella Liability insurance with a limit of not less
than $1,000,000 each accident. Such insurance shall cover liability arising out of
any auto, including owned, hired, and non -owned autos used in the performance
of work or services.
12. Assignment, Contracting_ The parties agree that this agreement is not transferable
or assignable by either party without the written consent of the other party to this
agreement. Operator shall not subcontract with another entity to perform the
services described herein without the approval of the County Manager or his
designee.
13. Termination. The franchisee may terminate this franchise upon three hundred
sixty-five (365) days written notice, or less notice with the consent of the County.
The County may only revoke the franchise for cause as set out in Chapter 44,
"Solid Waste," of the New Hanover County Code. This franchise may be modified
or revoked by the County in the event that an ordinance is passed by the Board of

Commissioners creating an exclusive franchise system for residential solid waste
collection in the unincorporated County.
14. Non -Waiver of Rights. It is agreed that County's failure to insist upon the strict
performance of any provision of this agreement or to exercise any right based upon
a breach thereof, or the acceptance of any performance during such breach, shall
not constitute a waiver of any rights under this agreement.
15. Equal Opportunity. In connection with the performance of this agreement,
Operator agrees not to discriminate against any employee or applicant for
employment because of race, religion, color, sex, age, disability, or national origin.
16. Entire Agreement. This agreement constitutes the entire understanding of the
parties with regard to the provision of solid waste collection and disposal. No
modification of rescission of this agreement shall be effective unless evidenced by
a writing signed by both parties to this agreement.
17. E-Verify Compliance. Operator shall fully comply with the U.S. Department of
Homeland Security employee legal status E-Verify requirements for itself and all
its subcontractors. Violation of the provision, unless timely cured, shall constitute
a breach of contract.

NATIONAL DAY OF RACIAL HEALING PROCLAMATION
WHEREAS, the New Hanover County Board of Commissioners and the New Hanover County Commission
on African American History, Heritage, and Culture affirm that all people, regardless of their racial, ethnic
group identification, skin color, or physical traits, deserve an equal opportunity to experience well-being
in a just society, and are committed to building communities where all can reach their full potential and
thrive; and
WHEREAS, all individuals have the right to safety, dignity, and humanity, and must be provided with every
opportunity to grow, learn, and flourish in a nurturing environment; and
WHEREAS, every individual possesses the ability to learn, grow and change, and build communities of
accountability, care, and collective action; and
WHEREAS, if everyone dedicates themselves to a process that brings individuals and communities to
wholeness, repairs the damage caused by racism, and affirms the inherent value of all people, everyone
can bring about the necessary changes in thinking and behavior that will propel this great country forward
as a society where everyone belongs; and
WHEREAS, racial healing is a vital and crucial commitment to the educational, social, mental, and overall
well-being of everyone; and
WHEREAS, New Hanover County recognizes the Tuesday after Martin Luther King Jr. Day as the 'National
Day of Racial Healing' and encourages all citizens to foster racial healing and collective transformation to
enhance the quality of life for everyone.
NOW, THEREFORE, BE IT PROCLAIMED by the New Hanover County Board of Commissioners, that
Tuesday, January 21, 2025, be proclaimed as the "National Day of Racial Healing."

NEW HANOVER COUNTY BOARD OF COMMISSIONERS
2025 -2026 LEGISLATIVE PRIORITIES RESOLUTION
WHEREAS, several legislative priorities have been identified by the New Hanover County Board of
Commissioners (Board) that are important to the citizens of New Hanover County; and
WHEREAS, the Board will advance these legislative priorities through dialogue and, as appropriate, at the
annual legislative conferences of the N.C. Association of County Commissioners (NCACC) and National
Association of Counties (NACo); and
WHEREAS, none of the legislative priorities are in conflict with NCACC or NACo priorities; and
WHEREAS, the Board supports the state identifying a recurring source of funding for the beach nourishment
fund created by the General Assembly in 2018 to support ongoing coastal storm damage reduction (CSDR)
projects. New Hanover County, and other coastal communities, can best plan and prioritize local budget needs
with dedicated, annual allocations of state support those communities can use for planning current or future
projects. The Board further finds that protecting coastal infrastructure provides a benefit to the entire state of
North Carolina, as public or private interests from nearly every North Carolina county own coastal property.
The Board further supports continued federal and state funding of Congressionally approved CSDR projects for
Wrightsville Beach, Carolina Beach, and Kure Beach; and
WHEREAS, the Board supports the commitment of necessary federal and state resources to fund the
replacement of the Cape Fear Memorial Bridge. The bridge was built in 1969, and its age and ongoing
maintenance expenses are inadequate to meet future growth; and
WHEREAS, the Board supports legislation or action to hold polluters financially responsible for cleanup and
remediation of perfluorinated chemicals (PFOA and PFOS) and other emerging contaminants in drinking water.
The Board further supports the state and federal governments enforcing formal standards to ensure drinking
water quality; and
WHEREAS, the Board supports administrative and legislative changes to federal agencies and regulations,
including but not limited to, the Federal Emergency Management Agency (FEMA) and the U.S. Housing and
Urban Development Administration (HUD), that would accelerate the flow of aid to local governments to
respond to natural disasters and other emergencies. The Board finds that timely disbursement of federal aid
would accelerate the recovery process, provide rapid stabilization, and bolster future resiliency; and
WHEREAS, the Board supports recurring and increased funding for the state's film grant program to continue
attracting film projects that move rapidly and consider numerous locations for productions. The film industry
supports nearly 1,000 local jobs and is a significant contributor to the county's economy. The Board further
encourages legislative efforts and opportunities to improve or expand the program; and
WHEREAS, the Board supports state and federal resources dedicated to addressing gaps in affordable and
workforce housing, as well as increased flexibility, without unfunded mandates, for local governments to
encourage and support affordable and workforce housing; and
WHEREAS, the Board supports a statewide school capital commitment at the earliest possible time. New
Hanover County and its school system have identified more than $550 million of school construction and
maintenance needs over the next several years. The taxpayers of the county are best served if the state
authorizes a statewide school capital commitment with a fair share allocated to New Hanover County schools
to aid in its real and pronounced school construction needs; and

WHEREAS, the Board supports the state returning to the original Education Lottery formula that set aside 40
percent for capital needs. The state currently caps the amount of lottery funds that go toward the Public School
Building Capital Fund at $100 million annually. Returning to the originally conceived formula would net almost
$400 million for critical school infrastructure needs; and
WHEREAS, the Board supports increased federal and state funding to address mental health and substance use
disorder support and treatment; and
WHEREAS, the Board supports state and federal investments and actions to preserve the West Bank of New
Hanover County as conservation land, recognizing that preservation of its natural landscape would mitigate
flooding risks brought by development; and
WHEREAS, the Board supports the state reinstating financial support for drug treatment and specialty courts.
The county has operated a drug treatment court successfully since the state withdrew funding for treatment
courts in 2011 by fully funding, at an expense of more than $1.5 million, and staffing a drug treatment and DWI
court for county residents. Treatment courts are an extension of the judicial system, and the state has the
primary duty to fund the court system and its associated services; and
WHEREAS, the Board supports fair and equitable funding through the N.C. Department of Transportation for
infrastructure to support New Hanover County's transportation needs as the county continues to rapidly grow.
The Board finds that appropriate DOT support, and developing additional and alternative revenue sources
beyond fuel taxes, will help provide the necessary infrastructure to accommodate an increasing population
and address the Board's priorities to encourage an increased stock of affordable and workplace housing; and
WHEREAS, the Board supports state funding and policy initiatives to identify, repair and bring into the North
Carolina Department of Transportation system orphan roads that were built by developers but have fallen into
disrepair.
NOW, THEREFORE, BE IT RESOLVED, that the New Hanover County Board of Commissioners considers these,
among others, as important priorities for representatives at the state and federal level to address in 2025 and
2026.

Presentation of the Audit Report for the Fiscal Year Ended June 30, 2024
BRIEF SUMMARY:
The New Hanover County Annual Comprehensive Financial Report and related independent audit for the fiscal year
ended June 30, 2024 have been completed. The results of the audit and financial report will be presented by April
Adams, Audit Partner with Cherry Bekaert LLP. The results of the audit include:
• An unmodified opinion on the financial statements, meaning the auditors concur that the financial statements
are fairly presented and free from material misstatements.
• The audit report notes that the financial statements include three error corrections. The error corrections are of
a technical nature that do not impact the General Fund, including accruing for opioid settlements (increase of
beginning balance of the net position of the County by $30.9 million), inclusion of the hospital pension plan in
the County's financial statements (increase in beginning balance of the net position of the County of $49.1
million), and reclassification to the fund level of $20.9 million of intergovernmental receivables (no impact on
the net position of the County).
• An internal control report over financial reporting and compliance and other matters. The error corrections gave
rise to a reported material weakness.
The financial statement amounts in the audited report are consistent with the amounts that were included in the
financial review that was presented to the Board of Commissioners on December 16, 2024. This includes a general
fund balance of $478,310,507, which includes $73,565,544 in unassigned balance. The unassigned fund balance as a
percentage of general fund expenses and transfers out was 18.2%, which aligns with our policy goal of 18% to 21%.

In planning and performing our audit, we considered internal control over financial reporting ("internal
control") as a basis for designing audit procedures that are appropriate in the circumstances for the
purpose of expressing our opinion on the financial statements and on compliance with Uniform
Guidance and the NC State Single Audit Implementation Act, but not for the purpose of expressing an
opinion on the effectiveness of the County's internal control. Accordingly, we do not express an opinion
on the effectiveness of the County's internal control.
Our consideration of internal control was for the limited purpose described in the preceding paragraph
and was not designed to identify all deficiencies in internal control that might be material weaknesses or
significant deficiencies and, therefore, material weaknesses or significant deficiencies may exist that
were not identified. In addition, because of inherent limitations in internal control, including the possibility
of management override of controls, misstatements due to error or fraud may occur and not be detected
by such controls.

management or employees, in the normal course of performing their assigned functions, to prevent, or

We noted none of the following:

• Significant related party transactions that have not
been approved in accordance with the County's
policies or procedures or for which exceptions to the
County's policies or procedures were granted;
• Significant related party transactions that appeared to
lack a business purpose;
• Noncompliance with applicable laws or regulations
prohibiting or restricting specific types of related party
transactions; and
• Difficulties in identifying the party that ultimately

We noted no transactions entered into by the County
during the year for which there is a lack of authoritative
guidance or consensus. All significant transactions have
been recognized in the financial statements in the proper
period.
For purposes of this presentation, professional standards
define significant unusual transactions as transactions that
are outside the normal course of business for the County
or that otherwise appear to be unusual due to their timing,
size, or nature. We noted no significant unusual
transactions during our audit.

financial statements taken as a whole.

method of preparing it has not changed
from the prior period, and the

in relation to our audit of the financial
statements. We compared and
reconciled the supplementary
information to the underlying accounting
records used to prepare the financial
statements or to the financial
statements themselves.
The County's audited financial
statements include an introductory and
statistical section. We do not have an
obligation to perform any procedures to

contained in the annual report.
However, we read the other information
and considered whether such

NEW HANOVER COUNTY COOPERATIVE EXTENSION ADVISORY COUNCIL
Members: 16
Terms of Office: Initial terms shall commence December 1, 2017. Terms will be staggered as determined by the
Board of Commissioners to serve one-year, two-year, and three-year terms. All appointees will serve in at -large
capacities.
Purpose: Cooperative Extension is a partnership between New Hanover County Government and North Carolina's
two Land Grant universities—N.C. State in Raleigh and N.C. A&Tatate in Greensboro. Primary responsibilities include:
1. Provide input and direction for educational programming conducted by Cooperative Extension staff
and volunteers in the areas of Consumer, Therapeutic and Commercial Horticulture, 4-H Youth
Development, Family and Consumer Sciences, and Natural Resources/Environmental Education and
Community Development.
2. Serve as an advocate for Cooperative Extension with citizens, community leaders, and elected officials.
3. Participate in and support Cooperative Extension programs and events.
4. Partner with the New Hanover County Friends of the Arboretum, the New Hanover County Master
Gardener Association, other agencies, non-profit organizations, and companies to improve/expand
facilities and services.
Meetings: Four times yearly, held in auditorium at the New Hanover County Arboretum
Statute or cause creating council: Cooperative Extension Director requested County Commissioners appoint
members 1/23/2006. Revised membership structure approved 5/6/2013; 11/20/2017,

NURSING HOME COMMUNITY ADVISORY COMMITTEE
Number mfMembers: 11 State mandated; may appoint up to 16 based on the number of nursing homes. The
Nursing Home Administrators may nominate one-third of the members.
Term of Office: 1-year term initially; 3-year term thereafter
Brief on the functions: Each member shall be aware of the general conditions under which the persons are
residing in the homes, and shall work for the best interests of the persons in the homes. This may include
assisting persons who have grievances with the home and facilitating the resolution of grievances at the local
level. Each member shall make quarterly visits to the nursing home it serves and more often if it is necessary
to carry out the duties. Statute or cause creating Board: N.C. General Statute 131E-128.
Qualifications: Must be a resident of New Hanover County. No person or immediate family member of a person
with a financial interest in a home oenxzd by the oznnnoittue, or employee or governing board member ofa
home served by the committee, or immediate family member ofa resident in a home served by the New
Hanover County Nursing Home Community Advisory Committee may be a member of this committee.
