Crowell, 40erk to the Board Exhibit BooQ�\ Page_B.��_ WHEREAS, the North Carolina Department of Transportation has submitted a request to use the $386,000 of remaining Division 3 High Impact/Low-Cost funds for traffic improvements at the intersection of NC 133 (Castle Hayne Road) and SR 1335 (Parmele Road); and WHEREAS, the proposed traffic signal will be located at the intersection where the new Castle Hayne Road fire station will be located, and the signalization of the intersection should improve the safety and efficiency of traffic movements by the public and fire and emergency vehicles; and WHEREAS, this request has been supported by New Hanover County Fire and Emergency Services; and WHEREAS, the cost estimate exceeds $250,000, the Chief Operating Officer for the North Carolina Department of Transportation requires the inclusion of a Resolution of Support from New Hanover County for approval of the fund request; and Iry WHEREAS, the New Hanover County Board of Commissioners has considered the above -described request and is in support of road improvements at the intersection of NC 133 (Castle Hayne Road) and SR 1335 (Parmele Road); and NOW, THEREFORE, BE IT RESOLVED, by the New Hanover County Board of Commissioners, that it expresses its support of the above -described project recommended by the North Carolina Department of Transportation and requests that the project proceed once the necessary funding has been established. W I Vy'--mmmir and the County Manager and their respective designees are authorized, empowered and directed, individually and collectively, to execute and deliver the Sixth Contract Amendment, including necessary counterparts, in substantially the form and content presented to the Board, but with such changes, modifications, additions or deletions therein as they may deem necessary, desirable or appropriate, their execution thereof to constitute conclusive evidence of the County's approval of any and all changes, modifications, additions or deletions therein from the form and content of the Sixth Contract Amendment presented to the Board. From and after the execution and delivery of the Sixth Contract Amendment, the Chair, the Clerk, the County Manager and the Chief Financial Officer of the County are authorized, em_poweredand directed, individually and collectivell, to do all such acts and documents as may be necessary to carry out and comply with the provisions of the Sixth Contract Amendment as executed. Section 4. Letter of Representation. The form and content of the Letter of Representation are approved, and the Authorized Officers are authorized to execute the Letter of Representation for the purposes stated therein, Section 5. County Representative. The Authorized Officers are designated as the County's representatives to act on behalf of the County in connection with the transactions contemplated by the .Instruments and the Preliminary Official Statement, and the Authorized Officers are authorized to proceed with financin the 2025 and to seek opinions as a matter of law from the County Attorney, which the County Attorney is authorized to furnish on behalf of the County, and opinions of law from such other attorneys for all documents contemplated hereby as required by law. The County Manager and the Chief Financial Officer are authorized, individually and collectively, to select a co -managing underwriter for the Bonds if they determine such selection to be in the best interests of the County. The County's representatives or their respective designees are authorized, empowered and directed, individually and collectively, to do any and 91 all other acts and to execute any and all other documents, which they, in their discretion, deem necessary and appropriate to consummate the transactions contemplated by the Instruments and the Preliminary Official Statement or as they deem necessary or appropriate to implement and carry out the intent and purposes of this Resolution and to administer the transactions contemplated by this Resolution after the execution and delivery of the Bonds. Section 6. Severability. If any section, phrase or provision of this Resolution is for any reason declared to be invalid, such declaration shall not affect the validity of the remainder of the sections, phrases or provisions of this Resolution. Section 7. Repealer. All motions, orders, resolutions and parts thereof, in conflict herewith are repealed. Section 8. Effective Date. This Resolution is effective on the date of its adoption.
