Section 2: Explanation
BA 26-037 moves budgeted grant funds from the General Fund into the Emergency Telephone Service Fund to comply with
grant directives from the North Carolina 911 Board. This movement allows for financial reporting of previously accepted grant
funds in the manner prescribed by the grantor. Funding is being used to support the replacement of the County's Computer
Aided Dispatch (CAD) system and applies specifically to the 911 portion of this project. This upgrade replaces the outdated
1996 system, improving emergency response times and interagency coordination. Additional project funding is included in the
Fiscal Year 2025-2026 budget, with a portion already allocated in the Emergency Telephone System Fund and the remainder in
the General Fund. No County match is required, and no new positions are being created.
Section 3: Documentation of Adoption
This ordinance shall be effective upon its adoption
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of New Hanover County, North Carolina,
that the Ordinance for Budget Amendment 26-037 amending the annual budget ordinance for the fiscal year ending June 30,
2026, is adopted.

Consideration of 43rd Annual National Travel and Tourism Week Proclamation
BRIEF SUMMARY:
In preparation for the 43rd Annual National Travel & Tourism Week (NTTW), May 3-9, 2026, the Wilmington and
Beaches Convention and Visitors Bureau (CVB) has submitted a proclamation to the New Hanover County Board of
Commissioners for consideration.
Since 1983, NTTW has recognized the travel industry's critical role in driving economic growth, supporting
communities, creating jobs, and enhancing quality of life. This year's theme, "Postmarked: Essential," underscores
travel as a foundational pillar of economic vitality and cultural connection.
In New Hanover County, tourism remains a key economic driver. In 2024, visitor spending exceeded $1.14 billion,
generating approximately $79.34 million in state and local taxes, supporting more than 7,003 jobs, and contributing
$290.59 million in payroll. Room Occupancy Tax collections also surpassed $25.5 million in 2025, reflecting continued
strong performance.
These results highlight tourism's essential role in driving economic growth and advancing the County's Strategic Plan
priorities, including workforce and economic development, a business -friendly environment, and cultural amenities
that enhance quality of place.

43rd ANNUAL NATIONAL TRAVEL AND TOURISM WEEK PROCLAMATION
WHEREAS, travel and tourism benefit New Hanover County's workforce and supports our local economy; and
WHEREAS, National Travel and Tourism Week [NTTW] celebrates the U.S. travel community and recognizes
the travel industry's vital contributions to the U.S. economy, creating quality job opportunities, inspiring new
businesses, and elevating the quality of life for Americans every day; and
WHEREAS, this year's NTTW theme, "Postmarked: Essential," highlights that in every corner of the country,
travel is a foundational pillar of growth, leaving an indelible mark on our local economies and culture; and
WHEREAS, in the United States:
• In 2024, travel generated an economic output of $3 trillion, representing a significant 2.4% of GDP;
• Domestic leisure travel spending reached $876 billion;
• Travel spending generated $89 billion in state and local taxes across the U.S.;
• Travel directly supported 8 million American jobs and another 7 million through indirect impact; and
WHEREAS, in North Carolina:
• In 2024, direct visitor spending across the state totaled $36.7 billion;
• Tourism accounts for 6.2% of total employment in the state;
• Our state is the 5th most visited in the U.S. for domestic travel;
• New Hanover County ranks 8th in visitor spending among the state's 100 counties; and
WHEREAS, in New Hanover County:
• Visitor spending infuses millions of new dollars into our local economy each year, helping to fund
beach nourishment, the Convention Center, ocean safety programs, and more;
• Room Occupancy Tax collections in 2025 exceeded $25.5 million, setting a new benchmark;
• In 2024, visitor spending was estimated at more than $1.14 billion ($1,139.78 million), representing
an increase of 1.5 percent over 2023;
• In 2024, travel generated approximately $79.34 million in state and local tax receipts, thereby
providing a $326.79 tax savings to each county resident as a direct result of visitor spending;
• The local travel industry provided more than 7,003 jobs and supported a payroll of $290.59 million;
• Travel is Essential to the County's economic success; and
WHEREAS, this proclamation recognizes the significant effect the travel industry has on our local economy
and the profound impact it has on the lives of New Hanover County's citizens.
NOW, THEREFORE, BE IT PROCLAIMED by the New Hanover County Board of Commissioners that May 3-9,
2026, is recognized as "National Travel and Tourism Week" in New Hanover County.

April is recognized nationwide as Sexual Assault Awareness Month (SAAM), a time to raise awareness and encourage
community action to prevent sexual violence and support survivors. At the request of Coastal Horizons, this
proclamation reaffirms New Hanover County's commitment to community safety and well-being.
The Rape Crisis Center of Coastal Horizons provides 24-hour crisis response, counseling, education, and advocacy for
survivors throughout the region.
With the 2026 theme, "25 Years Strong: Looking Back, Moving Forward" the campaign emphasizes the power of
collective action to prevent sexual abuse, assault, and harassment. It encourages all members of the community,
including residents, service providers, educators, faith leaders, businesses, and government, to help create safe,
respectful, and supportive environments.
Coastal Horizons' work aligns with the County's Strategic Plan focus on community safety and well-being, supporting
prevention, survivor advocacy, and long-term community health.

SEXUAL ASSAULT AWARENESS MONTH PROCLAMATION
WHEREAS, April is recognized as Sexual Assault Awareness Month (SAAM), marking 25 years of progress in raising
awareness, supporting survivors, and working to prevent sexual violence in our communities; and
WHEREAS, this year's SAAM theme, "25 Years Strong: Looking Back, Moving Forward," honors the resilience of
survivors and recognizes the collective efforts of communities dedicated to creating meaningful change; and
WHEREAS, Sexual Assault Awareness Month has served as a platform to educate the public, support survivors, and
inspire action to prevent sexual assault, abuse, and harassment; and
WHEREAS, as we reflect on how far we have come, we also recognize the work that lies ahead; and
WHEREAS, prevention begins with each of us through fostering respect, practicing consent, and creating safe,
supportive environments where all individuals are valued and protected; and
WHEREAS, when we act with intention, we move closer to a future free from violence; and
WHEREAS, sexual assault affects individuals and families across all walks of life, impacting their well-being, safety,
and sense of security; and
WHEREAS, New Hanover County honors the courage of survivors who have shared their stories and recognize's the
advocates and organizations who continue to lead efforts in prevention, education, and healing; and
WHEREAS, the Rape Crisis Center (RCC) of Coastal Horizons provides essential services, including 24-hour crisis
response, individual counseling, and advocacy, to victims in New Hanover, Pender, Brunswick, and Duplin Counties,
ensuring that those impacted by sexual violence receive the help and support they deserve; and
WHEREAS, fostering a culture that prioritizes safety, respect, and accountability helps ensure that every individual
can live free from the threat of sexual violence and strengthens our commitment to a safer future for all.
NOW, THEREFORE, BE IT PROCLAIMED by the New Hanover County Board of Commissioners that April 2026 is
recognized as "Sexual Assault Awareness Month" in New Hanover County. All residents are encouraged to take part

April is nationally recognized as Child Abuse Prevention Month, a time to raise awareness and inspire action to protect
children and support families. At the request of The Carousel Center, this proclamation reaffirms New Hanover
County's commitment to prevention by promoting safe, stable, and nurturing environments where all children can
thrive.
This recognition highlights the importance of positive childhood experiences and a coordinated, community -wide
approach. It calls on families, service providers, educators, faith leaders, businesses, and local government to work
together to strengthen supports, build protective factors, and ensure every child has the opportunity for a healthy,
secure future.
The Carousel Center's work aligns with the County's Strategic Plan priorities for community safety and well-being,
reinforcing prevention, strengthening families, and supporting community health.

NEW HANOVER COUNTY BOARD OF COMMISSIONERS
CHILD ABUSE PREVENTION MONTH PROCLAMATION
WHEREAS, in fiscal year 2024-2025, Carousel Child Advocacy Center (CCAC) received 394 child abuse case referrals,
with 188 of those referrals involving children in New Hanover County; and
WHEREAS, children are our most vulnerable members, as well as our most valuable resources, helping to shape the
future of our communities; and
WHEREAS, child sexual abuse, physical abuse, emotional abuse, and neglect are serious problems affecting every
community and can have long-term psychological, emotional, and physical consequences throughout an individual's
lifetime, impacting future generations; and
WHEREAS, children who have access to safe adults, protective environments, and families with concrete economic
and social support are less likely to experience abuse and neglect; and
WHEREAS, positive childhood experiences (PCEs), including loving caregivers and safe, stable, and nurturing
relationships, help mitigate trauma and the negative impact of adverse childhood experiences (ACEs), promoting the
social, emotional, and developmental well-being of children; and
WHEREAS, nurturing positive childhoods and preventing child abuse is possible through partnerships among families,
intervention and prevention advocates, child welfare professionals, education, health, community and faith -based
organizations, businesses, law enforcement agencies, and local, state, and national governments; and
WHEREAS, to address the public health and safety issues of child abuse, we must work together to change social
norms, break down bias and barriers, center the needs of families, and inspire education and action across all sectors
of society; and
WHEREAS, New Hanover County is committed to preventing child abuse and recognizes the need to invest in primary
prevention efforts, intervention services, and equitable, responsive, and effective systems that ensure all children
and families are healthy and thriving.
NOW, THEREFORE, BE IT PROCLAIMED by the New Hanover County Board of Commissioners that April 2026 is
recognized as "Child Abuse Prevention Month" in New Hanover County, and all citizens, community agencies, parent
and caregiver groups, medical facilities, elected leaders, and businesses are called upon to increase participation in
efforts to raise awareness, promote education, build connections, and support families, thereby preventing child
abuse and strengthening our community.

Consideration of Bryan Property Purchase and Sale Agreement and Associated Resolution
BRIEF SUMMARY:
At the Board of Commissioners meeting on March 16, 2026, the Board authorized staff to develop a Purchase and Sale
Agreement with the North Carolina Coastal Land Trust for the county -owned 60-acre tract located at 3990
Independence Boulevard, commonly known as the Bryan property.
The Purchase and Sale Agreement has been negotiated and is included for Board review. The agreement provides for a
purchase price of $3 million, a closing date no later than December 15, 2027, and provisions ensuring the property will
be maintained in perpetuity for conservation, passive recreation, environmental education, and public access. The
agreement also requires recognition of Flossie Bryan in the naming of the park and/or associated features in a
prominent and permanent manner.
If approved, the Clerk to the Board will publish a notice summarizing the contents of the authorizing resolution
as required under N.C.G.S. 160A-279. The Coastal Land Trust will then proceed with due diligence and securing
funding commitments in accordance with the agreement.

Boulevard in the City of Wilmington, identified as Tax Parcel ID Number R06500-005-002-000; and
WHEREAS, North Carolina General Statute §160A-279 authorizes a county to convey real property by private sale to a
nonprofit corporation for public use or benefit if the county is authorized by law to appropriate funds to the corporation;
and
WHEREAS, North Carolina General Statute §153A-149 authorizes a county to undertake open space acquisition and
preservation for the public benefit; and
WHEREAS, the County has negotiated with the North Carolina Coastal Land Trust, a North Carolina nonprofit corporation
(hereinafter "Land Trust"), to convey the above -referenced tract so that the Land Trust may preserve the property
pursuant to a perpetual conservation non -development covenant.
NOW, THEREFORE, BE IT RESOLVED by the New Hanover County Board of Commissioners that:
1. The County Manager is authorized to execute all documents necessary to convey fee simple title to the
approximately sixty (60) acre tract of land located on Independence Boulevard in the City of Wilmington, more
particularly described as follows:
Being all that property, rights, easements, and appurtenances as more fully described in Deed Book 6782, Page
1831; Deed Book 1431, Page 1069; and Book 577, Page 466, New Hanover County Registry, and commonly known
as the Flossie Bryan Tract.
2. The consideration for this conveyance shall consist of the following conditions, covenants, and restrictions, which
shall be incorporated into the deed of conveyance to the Land Trust or recorded thereafter:
a. The Land Trust, its successors, and assigns shall hold, operate, and maintain the subject parcel for public use
and benefit, consistent with the terms of a permanent conservation non -development covenant set forth in
the deed of conveyance or subsequent recordation.
b. The transaction shall be subject to the terms and conditions set forth in a Purchase and Sale Agreement
between the County and the Land Trust, incorporated herein by reference, establishing a purchase price of
Three Million Dollars ($3,000,000.00).
3. The Clerk to the Board is directed to publish a notice summarizing the contents of this resolution, and the property
may be conveyed at any time ten (10) days after publication of such notice.

PURCHASE AND SALE AGREEMENT
THIS PURCHASE AND SALE AGREEMENT ("Agreement") made and entered into this
day of , 2026 ("Effective Date"), by and between NEW
HANOVER COUNTY, a local political subdivision of the State of North Carolina, ("Seller") with
an address of 230 Government Center Drive, Suite 125, Wilmington, N.C. 28403, and NORTH
CAROLINA COASTAL LAND TRUST, a North Carolina nonprofit corporation, ("Buyer") with
an address of 3 Pine Valley Drive, Wilmington, N.C. 28412.
The designation "Seller" and "Buyer" as used herein shall include said parties, their
respective successors and assigns and shall include masculine, feminine, or neuter as required by
context. Seller and Buyer may be individually referred to as a "Party" and collectively referred to as
"Parties". Any reference to a numbered or lettered section or subsection refers to the referenced
section or subsection of this Agreement.
RECITALS
1. Seller owns fee simple title to those certain tracts or parcels of land situated in the City of
Wilmington, New Hanover County, North Carolina, containing approximately 60 acres, more or less,
and collectively identified by the New Hanover County Tax Department as New Hanover County
Tax Parcel ID Number: R06500-005-002-000 and PIN: 3125-25-7464.000, with the metes and
bounds thereof being more particularly described in that deed to Seller recorded in Book 6782, Page
1831, New Hanover County Registry, together with all improvements thereon, if any, all mineral
rights and interests therein, and all rights, easements, and appurtenances now or hereafter belonging
thereto, less and except, however, the land conveyed by deeds recorded in Book 1431, Page 1069
and Book 577, Page 466, both of the New Hanover County Registry, (collectively, the "Property").
The Property, which is commonly known as the Flossie Bryan Tract, has direct legal and physical
vehicular access, ingress, egress, and regress to and from the Property and Independence Blvd., a
city -maintained road, in the City of Wilmington, North Carolina.
2. Seller desires to sell, and Buyer desires to purchase the Property, together with all appurtenant
exclusive or non-exclusive easements for legal and physical vehicular access, ingress, egress, and
regress to and from the Property and a city -maintained road, from Seller, and together with the
mineral rights in and to the Property, with the exact acreage and boundaries of the Property to be
determined by final survey prepared pursuant to Subsection 3(a) below, all on the terms and
conditions hereinafter set forth.
NOW, THEREFORE, the Seller, for and in consideration of the mutual covenants and
conditions contained herein and for other good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, hereby agrees to sell and Buyer hereby agrees to purchase the
Property from Seller, on the following terms and conditions:

1. Purchase Price. The purchase price to be paid by Buyer for the Property shall be the sum of

MILLION AND NO ONE -HUNDREDTHS DOLLARS ($3,000,000.00) ("Purchase
The Purchase Price shall be paid by Buyer to Seller as follows:
(a) An earnest money deposit of TEN THOUSAND AND NO/ONE-HUNDREDTHS
DOLLARS ($10,000.00) (the "Deposit") made payable to the real estate trust account of
Murchison, Taylor & Gibson, PLLC, of 1979 Edgewood Rd., Suite 101, Wilmington, N. C.
28403, the law firm of David G. Martin ("Buyer's Attorney"), shall be delivered by Buyer to
the Buyer's Attorney, as an escrow agent, within ten (10) days of the Effective Date, to be held
in escrow and disbursed in accordance with the provisions of Section 2 this Agreement.
(b) Contingent upon fulfillment of the conditions precedent to Buyer's obligation to close on
the purchase of the Property, at Closing (as defined in Section 5 below), Buyer shall pay the
balance of the Purchase Price, subject to adjustments for prorations and Closing Costs (as
defined in Section 6 below), to Buyer's Attorney's real estate trust account for payment to the
real estate trust account of Seller's attorney by federal wire transfer, certified or cashier's
check, or real estate trust account check of Buyer's Attorney. No provision in this Agreement
shall be interpreted to require obligation of payment of funds in violation of the Anti -
Deficiency Act, 31 U.S.C. 1341, or other applicable federal law.
2. Disbursement of Deposit; Default. Within ten (10) days of the Effective Date of this
Agreement, the Deposit shall be paid by Buyer as set out in Subsection 1(a) and shall be held in
escrow by Murchison, Taylor & Gibson, PLLC, of 1979 Edgewood Rd., Suite 101, Wilmington, N.
C. 28403 , as escrow agent, and disbursed on the following terms and conditions:
(a) At Closing (as defined in Section 5), the Deposit shall be applied to the Purchase Price
due to Seller at Closing, and Buyer shall receive a credit therefor;
(b) In the event Buyer elects to terminate this Agreement for any reason or no reason and
provides written notice thereof to Seller's attorney prior to the expiration of the Feasibility
Period (as defined in Section 3), then this Agreement shall terminate, the Deposit shall be
promptly refunded to Buyer, and Buyer and Seller shall be released from the terms of this
Agreement (except for obligations which by their terms survive the termination of this
Agreement), free of any claim by the other Party, and the respective rights of Buyer and Seller
hereunder shall cease and terminate;
(c) In the event (i) any of the "Feasibility Studies" set forth in Section 3 are unsatisfactory to
Buyer for Buyer's intended conservation purpose or use or to any fonder providing funds for
Buyer's purchase of the Property (whether one (1) or more, "Acquisition Funder"); or (ii)
the conditions or contingencies precedent to Buyer's obligation to close on the purchase of
the Property, as set forth in Section 4, are not fulfilled, then Buyer may elect to terminate this
Agreement by written notice given to Seller or Seller's Attorney (in accordance with the

provisions of Section 13) prior to the expiration of the Feasibility Period, and the Deposit
shall be promptly disbursed by the escrow agent to Buyer, and Buyer shall be released from
the terms of this Agreement, free of any claim by Seller, and the Parties shall be relieved of
all of their respective obligations under and rights against each other with regard to this
Agreement. In the event Buyer elects to terminate this Agreement, Buyer shall provide any
completed due diligence materials, inspection documents, reports, and the like, to Seller.
(d) Notwithstanding anything to the contrary contained herein, in the event of a breach of this
Agreement by Buyer, this Agreement shall terminate, and the Deposit shall be immediately
disbursed by the escrow agent to Seller's Attorney as liquidated damages as Seller's sole and
exclusive remedy. Seller shall have no further rights against Buyer, and the Parties hereto
shall be relieved of all of their respective obligations under this Agreement and rights against
each other with regard to this Agreement. It is acknowledged by the Parties that payment of
the Deposit to Seller's attorney for distribution to Seller in the event of a breach of this
Agreement by Buyer is compensatory and not punitive, such amount being a reasonable
estimation of the loss Seller would incur as a result of such breach or termination.
(e) In the event Seller refuses to or cannot comply with the terms of this Agreement, refuses
to or cannot convey the Property to Buyer at Closing, or otherwise is in breach of this
Agreement, the Deposit shall be promptly refunded to Buyer, Buyer shall be released from
the terms of this Agreement, free of any claim by Seller, and the respective rights of Buyer
and Seller hereunder shall cease and terminate; however, such return of the Deposit to Buyer
shall not affect any other remedies available to Buyer for such breach, including, without
limitation, specific performance; subject to Section 24 below.
3. Feasibility Period and Feasibility Studies. Buyer shall have from the Effective Date of this
Agreement through November 15, 2027, thirty (30) days prior to the Closing Date (as defined in
Section 5 below), (the "Feasibility Period") in which to conduct or complete, at its expense, a survey,
an environmental analysis, a title examination of the Property, and any and all studies, tests,
evaluations, and investigations it may desire on or of the Property (collectively, the "Feasibility
Studies") to ensure that the Property is satisfactory, in Buyer's sole discretion and/or in the discretion
of any Acquisition Funder for Buyer's intended restrictions and use thereof. In order to facilitate the
performance of the Feasibility Studies, Seller shall furnish Buyer with copies of the due diligence
items set forth on the attached Exhibit A, which Seller has in its possession or control or can
reasonably obtain, within ten (10) days, or as soon thereafter as is practicable, from the Effective
Date of this Agreement.
At any time after the Effective Date of this Agreement, Seller shall permit Buyer and its designated
agents or representatives to have full access to the Property to inspect the Property and to conduct
the Feasibility Studies. Buyer shall not conduct invasive testing of any nature without the express
written approval of Seller as to each specific invasive test intended to be conducted by Buyer. Buyer
shall conduct all such inspections and examinations in a good and workmanlike manner, and assumes
all risk and liability for loss, damage, or liability arising therefrom, except for loss, damage, or
liability that is a sole result of the gross negligence or intentional act of the Seller.

(a) Survey. During the Feasibility Period, Buyer may obtain, at its cost and expense, a
survey of the Property prepared by a surveyor selected by Buyer and duly licensed in the State
of North Carolina ("Survey"), and the surveyor shall confirm, the legal description of the
Property to be based on the calls set forth on such Survey and included in the General
Warranty Deed, as provided in Subsection 5(a)(i), and in all remaining Conveyance
Documents (as defined in Section 5 below). Buyer intends to record the mylar of the Survey
at the Closing (as defined in Section 5) on Buyer's purchase of the Property. If the Buyer or
any Acquisition Funder determines, in its respective sole and absolute discretion, that the
Survey is unsatisfactory or reveals that the Property is not suitable for the Buyer's intended
purposes, then the Buyer may terminate this Agreement by written notice given to Seller
during the Feasibility Period and the Buyer and Seller shall be released from the terms of this
Agreement (except for obligations which by their terms survive the termination of this
Agreement), free of any claim by the other Party, and the respective rights of Buyer and Seller
hereunder shall cease and terminate.
(b) Title, Title Insurance Commitment(s), and Title Insurance Policy(ies). During the
Feasibility Period, Buyer shall, at Buyer's expense, cause title to the Property to be examined
and certified to Buyer, each Acquisition Funder, and the title insurance company selected by
Buyer ("Title Company"), sufficient for Buyer and each Acquisition Funder to procure ALTA
Form B policies of title insurance with extended coverage insuring the following:
(i) Buyer's interest as the fee title owner of the Property, including insuring that there
is no exception for, or severance of, mineral rights and interests in and to the Property,
and Buyer will have direct physical and legal access, ingress, egress, and regress to
and from the Property and one (1) or more city -maintained road(s), without exception,
other than the Permitted Exceptions (as defined herein), and
(ii) The respective interest of any Acquisition Funder in and to the Property, including
insuring that there is no exception for, or severance of, mineral rights and interests in
and to the Property, and insuring that the Acquisition Funder will have direct physical
and legal access, ingress, egress, and regress to and from the Property and a city -
maintained road, without exception, other than the Permitted Exceptions, as
hereinafter defined.
The owner's and any Acquisition Funder's title insurance policies issued for the Property as
set forth in Subsection 3(b)(i) and (ii) are collectively, "Title Policy".
Buyer and each Acquisition Funder shall have the later of one hundred twenty (120) days
from receipt of their respective commitment for the title insurance coverage required herein
(collectively, "Title Commitment"), which period is referred to herein as the "Title Review
Period", to review the Buyer's attorney's opinion on title to the Property, the Title
Commitment, underlying documents referred to therein, and the Survey (collectively referred
to herein as, "Title Evidence") and render any objections as to the Title Evidence or matters

of title in writing to Seller. Any Title Evidence and matters of title pertaining to the Property,
including any instruments of record affecting the Property, including the mineral rights
therein, which are not objected to by Buyer or any Acquisition Funder in writing prior to the
expiration of the Title Review Period shall be deemed waived, and Buyer shall be deemed to
agree to acquire the Property subject to all such exceptions and matters (collectively,
"Permitted Exceptions").
Within ten (10) business days after receipt of any timely written Title Evidence objections
from Buyer or any Acquisition Funder, Seller may either (i) elect to cure such objection(s) or
(ii) decline to cure some or all of such objections. If Seller does not respond within such ten
(10) business day time period, Seller shall be deemed to have elected to cure such matters
objected to by Buyer and/or an Acquisition Funder. If Seller notifies Buyer in writing that it
declines to cure any such Title Evidence objections, or if Seller elects to cure such objections,
but then fails or is unable to complete such cure within a thirty (30)-day period ("Cure
Period"), which Cure Period may be extended by Seller, upon written notice delivered to
Buyer, for an additional thirty (30)-day period ("Extended Cure Period") so long as Seller is
working in good faith to cure the title objection. If the Seller delivers a written notice to Buyer
that such objections are not curable, then in such event, Buyer may, by written notice to Seller,
elect to either:
(aa) Terminate this Agreement and any Deposit shall be immediately refunded to
Buyer in accordance with the provisions of Subsection 2(c), and neither Party shall
have any further rights or obligations hereunder (except for obligations which by their
terms survive the termination of this Agreement); or
(bb) Proceed to Closing and take title subject to such objections, in which case all
Title Evidence matters objected to by Buyer which were not cured by Seller shall be
deemed Permitted Exceptions hereunder.
Subject to the approval of Buyer and each Acquisition Funder, which may be withheld in the
sole and absolute discretion of Buyer and any Acquisition Funder, Seller may cause the Title
Company to issue a title endorsement or "insure over" any title matter objected to by Buyer
(each, a "Seller Endorsement"), or Seller may cause any materialmans' or mechanics' liens
to be bonded over which shall have the same effect as if such objection was cured by Seller;
provided, Seller shall pay, or obtain a release, termination, cancellation, or satisfaction of, all
monetary title objections (i.e., mortgages, deeds of trust, judgments, and mechanic's liens)
prior to or at Closing.
Notwithstanding any expiration of the Feasibility Period or any provision herein to the
contrary, after the effective date of the Title Commitment but prior to recordation of the
Conveyance Documents (as defined in Section 5 below), Buyer and each Acquisition Funder
shall retain the right to object to any instrument or other title matter discovered during such
period against the Property (except as specifically permitted herein) that the Title Company
intends to show as an exception to title in the Title Policy. Within ten (10) business days

after receipt of any such objection from Buyer or any Acquisition Funder, Seller shall cure
any objection pertaining to the Property, and the Closing Date (as defined in Section 5) shall
be extended for the amount of time necessary to accommodate the running of such period.
(c) Hazardous Substances. During the Feasibility Period, Buyer may, at its expense, conduct
any and all tests, borings, and investigations it may desire and obtain an environmental
analysis performed by environmental engineers retained by Buyer to certify that the Property
is free of "Hazardous Substances", which are defined as hazardous or toxic waste or
substances, and which are defined as those substances, materials, and wastes, including, but
not limited to, those substances, materials, and wastes listed in the United States Department
of Transportation Hazardous Materials Table (49 CFR Part 172.101) or by the Environmental
Protection Agency as hazardous substances (40 CFR Part 302.4), and any amendments
thereto, or such substances, materials, and wastes, which are or become regulated under any
applicable local, state, or federal law, including without limitation, any material, waste, or
substance which is (i) petroleum, (ii) asbestos (iii) polychlorinated biphenyls, (iv) designated
as a Hazardous Substance pursuant to Section 311 of the Clean Water Act of 1977 (33 U.S.C.
Section 1321) or listed pursuant to Section 307 of the Clean Water Act of 1977 (33 U.S.C.
Section 1317), (v) defined as a hazardous waste pursuant to Section 1004 of the Resource
Conservation and Recovery Act of 1976 (42 U.S.C. Section 6903) or (vi) defined as a
hazardous substance pursuant to Section 101 of the Comprehensive Environmental Response,
Compensation and Liability Act of 1980 (42 U.S.C. Section 9601), on the Property.
If Buyer does not receive an environmental analysis completed by environmental engineers
retained by Buyer certifying that the Property is free of Hazardous Substances and Buyer's
tests, borings, and/or investigations reveal the presence of any Hazardous Substances on the
Property, within ten (10) business days after receipt of written notice to Seller of such
presence of Hazardous Substances on the Property, Seller may either (i) elect to pay any and
all costs and expenses incurred in cleaning up any environmental and/or hazardous substance
contamination on the Property as required by applicable federal, state, or local authority; or
(ii) decline to pay such costs and expenses. If Seller does not respond within such ten (10)
business day time period, or if Seller shall notify Buyer that it declines to pay any and all
costs and expenses incurred in cleaning up any environmental and/or hazardous substance
contamination on the Property, or if Seller elects to pay such costs and expenses, but then
fails or is unable to complete such payment, then in such event, Buyer may, by written notice
to Seller, elect to terminate this Agreement and the Deposit shall be disbursed in accordance
with the provisions of Subsection 2(c) and neither Party shall have any further rights or
obligations hereunder (except for obligations which by their terms survive the termination of
this Agreement).
(d) Improvements. During the Feasibility Period, Buyer and Buyer's agents, representatives,
and contractors, and any Acquisition Funder may visit and inspect the Property. It is the
Parties' understanding that the Property is currently in an unimproved state. If, upon the
completion of the inspections conducted by or on behalf of Buyer or any Acquisition Funder
and the Feasibility Studies, Buyer determines that the Property has been otherwise improved

or has improvements, structures, items, and/or debris located thereon, then, at the discretion
of Buyer or any Acquisition Funder and as directed by Buyer prior to the expiration of the
Feasibility Period, Seller shall be responsible for removing any such unwanted improvements,
items, and debris that Buyer or any Acquisition Funder wishes to have removed prior to
Closing, as defined in Section 5, and Seller agrees to pay any and all costs and expenses
incurred in removing any such improvements from the Property.
4. Closing Conditions or Contingencies.
Buyer's obligation to purchase the Property shall be expressly conditioned upon the following:
(a) Appraisal Contingency. The Property must appraise at a value equal to or exceeding the
Purchase Price based on an appraisal obtained by and at the expense of Buyer. In the event
the appraisal contingency is not fulfilled, then Buyer may terminate this Agreement, and the
Deposit shall be promptly disbursed to Buyer, free of any claim by Seller, and the respective
rights of Buyer and Seller hereunder shall cease and terminate;
(b) Acquisition Funder Approvals and Funding Contingencies. Buyer shall have the
Feasibility Period in which to obtain all loan, grant, and/or funding commitments, approvals,
consents, and grant contracts necessary or required, in Buyer's sole and absolute discretion,
from each Acquisition Funder for Buyer to purchase the Property, which approvals are
collectively, "Approvals". It is condition precedent to Buyer's obligation to close on the
purchase of the Property that all approved funding from each Acquisition Funder shall have
actually been received by Buyer or Buyer's Attorney prior to the Closing Date, as defined in
Section 5, for the Closing, as defined in Section 5.
(c) Title Contingency. Buyer's obligation to purchase the Property is expressly conditioned
on Seller conveying fee simple insurable title to the Property to Buyer without Title Evidence
objectionable to Buyer and/or any Acquisition Funder, including any instruments of record
affecting the Property, including the mineral rights therein; and with the Property having
direct access to one (1) or more state -maintained road(s); all without exception for mechanics'
liens, and free and clear of all liens, encumbrances, and defects of title other than: (i) zoning
ordinances affecting the Property, and (ii) specific instruments on the public record as of the
Effective Date agreed to, or not objected to, by Buyer and any Acquisition Funder prior to
the end of the Feasibility Period, which specific instruments shall be enumerated in the deed
referenced in Subsection 5(a)(i) and shall be included as Permitted Exceptions. After the
Effective Date but prior to the Closing Date (as defined in Section 5), Seller shall not enter
into any easements, encumbrances, or other title matters or recordable instruments affecting
the Property, nor take any action to cause title to the Property to differ from the condition of
title approved by Buyer, without Buyer's prior written consent, which consent shall not be
unreasonably withheld, conditioned, or delayed.
Notwithstanding anything in this Agreement to the contrary, and notwithstanding any
approval or consent given by Buyer hereunder, Buyer's obligation to purchase the Property,

is expressly conditioned on Seller causing all judgments, mortgages, and deeds of trust
encumbering Seller's interest in the Property, and all mechanics' liens filed against the
Property, to be released and reconveyed from the Property at or prior to the Closing, and shall
cause the Title Company to insure the Property and direct access to and from the Property
and a city -maintained road will be conveyed to Buyer without exception, other than the
Permitted Exceptions (as defined herein); and
(d) No Condemnation Contingency. No condemnation or threatened condemnation of the
Property shall occur, and no notice of condemnation of the Property shall be received by
Seller on or before the Closing Date, as defined in Section 5.
Seller's obligation to sell the Property to Buyer shall be expressly conditioned upon the following
requirement:
Post -Closing Permanent Conservation and Public Access Restriction(s). Buyer, immediately
following the Closing and recording of the General Warranty Deed into the Buyer, as
provided in Subsection 5(a)(i) below, shall convey and record a permanent conservation
easement or restrictive covenant to be held by (i) Seller or (ii) a "qualified organization",
either governmental or nonprofit, as that term is defined in Section 170(h)(3) of the Internal
Revenue Code, as elected by the Buyer, and in either of which events the terms of such
conservation easement or restrictive covenant are subject to Seller's reasonable approval, or
(iii) the State of North Carolina, or an agency or division thereof, all to ensure that the
Property is maintained in perpetuity for conservation, passive recreation, environmental
education, and public access purposes, in furtherance of the intent of Seller, as expressed
herein, and the vision of Flossie Bryan, as understood by the Parties. Notwithstanding the
foregoing, in the event the Buyer's purchase of the Property is funded, in whole or in part, by
one (1) or more Acquisition Funder(s) requiring the recording of permanent conservation
restrictions ensuring public access on the Property as a condition of providing acquisition
funding to Buyer, then this condition shall be fulfilled once the permanent conservation
restriction is recorded, and Buyer shall not be required to enter into and record conservation
restrictions on the Property in addition to those required by the Acquisition Funder(s).
Notwithstanding any provision herein to the contrary, this provision shall survive Closing,
and notwithstanding the foregoing, nothing herein shall be deemed to require a restriction on
the Property prohibiting the construction of an environmental education or similar facility,
restroom facility(ies), one (1) or more picnic facility(ies), and amenities on the Property to
facilitate public passive recreational use of the Property and the ongoing work and
conservation purposes of the Buyer.
The foregoing conditions shall be collectively referred to as "Closing Conditions". The Parties
covenant and agree that they shall exercise reasonable efforts to cause the approval or occurrence of
the Closing Conditions and shall otherwise perform all of their respective duties and obligations set
forth in this Agreement on or before the Closing Date (as defined in Section 5). In the event that any
of the Closing Conditions are not fulfilled or Buyer is unable to obtain the Approvals on or before

the Closing Date (as defined in Section 5), through no fault of Seller, Buyer may terminate this
Agreement without any further action necessary by Seller. Upon any such termination by Buyer, the
Deposit will be disbursed in accordance with the provisions of Section 2, and Seller and Buyer shall
be relieved of liability to each other. Notwithstanding the foregoing, Buyer may provide written
notice to Seller's attorney of its election to proceed with the purchase of the Property despite any of
Buyer's Closing Condition(s) not having been fulfilled, and this Agreement shall not terminate, and
the Buyer and Seller shall proceed to Closing.
5. Closing and Closing. The closing of the purchase and sale of the Property ("Closing")
shall take place at a location mutually agreed upon by the Parties hereto on or before December 15,
2027 (the "Closing Date") or at such reasonable time thereafter as the Parties may determine. The
Buyer shall have the right to extend the Closing Date for one (1) period of ninety (90) days
("Extension Period"), or until March 14, 2028 ("Extended Closing Date"). Buyer may exercise its
right to extend the Closing Date by delivery of written notice to the Seller or the Seller's attorney
before the Closing Date. The Closing shall be conducted by Buyer's Attorney or handled in such
other manner as the Parties hereto may mutually agree in writing. Possession shall be delivered at
Closing. Prior to Closing, Buyer shall deliver to Buyer's Attorney's trust account by wire transfer of
funds or by certified or cashier's check for disbursement any Closing Costs (as defined in Section 6),
which are Buyer's responsibility hereunder, and expenses incurred by Buyer in connection with the
purchase of the Property. The Purchase Price and other funds to be disbursed pursuant to this
Agreement shall not be disbursed by Buyer's Attorney until the Buyer's Attorney's receipt of
authorization by Buyer to disburse all necessary funds. At Closing and upon recording the General
Warranty Deed in the New Hanover County Registry, Buyer shall authorize Buyer's Attorney to
deliver to the real estate trust account of the Seller's attorney the funds necessary to pay the balance
of the Purchase Price for the Property, subject to adjustments for prorations and Closing Costs (as
defined in Section 6 herein), by federal wire transfer, certified or cashier's check, or real estate trust
account check of Buyer's Attorney.
(a) Ten (10) business days prior to the Closing Date, Seller shall have made or caused to
be made all deliveries provided for in this Agreement and contemplated to be made by Seller
at Closing, to Buyer's Attorney, including the following original documents (collectively,
"Conveyance Documents") duly executed and acknowledged where appropriate:
(i) General Warranty Deed duly executed by Seller and acknowledged and
delivered to Buyer's Attorney, or its designee, in recordable form, conveying
good and marketable title to the Property based on a legal description drafted
from the calls set forth on the Survey obtained by Buyer pursuant to
Subsection 3(a) above, including all mineral rights and interests therein, and
all rights, easements, and appurtenances now or hereafter belonging thereto,
and with the Property having direct physical and legal access to one (1) or
more city -maintained roads; subject, however, to no liens or encumbrances
other than the Permitted Exceptions;

(ii) Non -foreign status affidavit(s) of the Seller certifying that the Seller is not a
"foreign person" as defined in the Federal Foreign Investment in Real Property
Tax Act of 1990, as amended, or otherwise confirming that Buyer is not
required to withhold any part of the Purchase Price pursuant to Section 1445
of the Internal Revenue Code of 1986, as amended;
(iii) Affidavits and agreements of indemnity satisfactory to the Title
Company and Buyer, stating that all contractors, subcontractors, and
suppliers of labor or materials to the Property, or any portion thereof,
in connection with any activities with respect to the Property, if any,
have been paid in full, and agreeing to indemnify the Title Company
from any loss, cost, damage or expense as a result of so-called
"mechanic's lien" claims relating to the Property. If, as of the Closing
Date, a mechanic's lien shall affect the Property, other than any
mechanics' liens which arise as a result of Buyer's entry on the
Property during the Feasibility Period, Seller shall cause the same to
be canceled and discharged of record in a manner satisfactory to
Buyer, at Seller's sole cost and expense, as a condition of Closing. The
foregoing notwithstanding, any liens arising that affect the Property as
a result of work performed at the request of Buyer prior to the date of
this Agreement or during the Feasibility Period shall be promptly
discharged by Buyer and shall not be covered in the affidavit provided
by Seller;
(iv) Any and all information required by the Title Company to comply with
the real estate reporting requirements set forth in Section 6045(e) of
the Internal Revenue Code of 1986, as amended;
(v) Evidence reasonably acceptable to Buyer and the Title Company as to
structure of the Seller entity, its authority and good standing to conduct
business in the State of North Carolina, and the authority of the
person(s) executing documents on behalf of the Seller;
(vi) Such certificates, documents, or instruments of Seller and Buyer, any
Acquisition Funder and/or the Title Company shall reasonably request;
(vii) Appropriate resolutions/certificates evidencing that the transaction
that is the subject of this Agreement has been authorized by the
appropriate representative of the Seller and further evidencing who has
been authorized to execute documents on behalf of the Seller; and
(viii) Settlement statement reasonably acceptable to Seller, Buyer, and any
Acquisition Funder.

(b) On the Closing Date, Buyer shall deliver or cause to be delivered to the Seller's
attorney the following items and documents, duly executed and acknowledged where
appropriate:
(i) Any and all information required by the Title Company to comply with
the real estate reporting requirements set forth in Section 6045(e) of the
Internal Revenue Code of 1986, as amended; and
(ii) Settlement statement reasonably acceptable to Seller, Buyer, and any
Acquisition Funder.
(c) On the Closing Date, immediately after recording the General Warranty Deed,
as set forth in Subsection 5(a)(i) above, Buyer's Attorney shall deliver or cause to be
delivered to the real estate trust account of Seller's attorney, the funds necessary to
pay the balance of the Purchase Price for the Property, subject to adjustments for
prorations and Closing Costs (as defined in Section 6 herein), by federal wire transfer,
certified or cashier's check, or real estate trust account check of Buyer's Attorney.
6. Prorations and Closing Costs. Seller shall pay all costs associated with any fees, taxes, impact
fees, assessments, delinquent, special use, rollback or deferred taxes, or otherwise, attributable to the
Property at or prior to Closing. Seller and Buyer agree that New Hanover County and City of
Wilmington ad valorem property taxes shall be prorated as of the Closing Date. These provisions
shall survive Closing. Seller shall pay for preparation of the General Warranty Deed, as provided in
Subsection 5(a)(i), and all other documents necessary to perform Seller's obligations under this
Agreement, and shall bear the cost of all necessary state, county, and municipal transfer, excise, or
document stamp taxes incidental to this transaction. Buyer shall pay recording costs for the General
Warranty Deed and survey, costs of any title examination, title insurance, survey, and the cost of any
inspections or investigations undertaken by Buyer under this Agreement. Each Party shall pay its
own attorney's fees. With regard to other costs of Closing, the Parties shall bear the costs of recording
and settlement as is the custom in North Carolina. All such costs and prorations referred to herein
shall collectively be called "Closing Costs".
7. Real Estate Brokers and Agents. Neither Seller nor Buyer has employed a real estate broker
or agent in connection with the sale and/or purchase, respectively, of the Property, and Seller and
Buyer represent that there are no real estate brokers or agents in this transaction. Seller and Buyer
agree to hold the other harmless against any claim made for brokerage commissions or finders' fees
resulting from such respective actions of each Party in this transaction.
8. Risk of Loss. Until the Closing Date, Seller assumes all risks and liability for loss, damage
to, or destruction of the Property, or any part thereof, or injury by accident, or other cause. In the
event the Property is damaged so that the Property, or any portion thereof, cannot be conveyed in
substantially the same condition as the Property was in as of the Effective Date of this Agreement,
Buyer may elect to terminate this Agreement without any further action necessary by Seller. Upon

any such termination by Buyer, the Deposit will be disbursed in accordance with the provisions of
Section 3, and Seller and Buyer shall be relieved of liability to each other under this Agreement.
9. Seller's Representations. Seller represents, to the best of its actual knowledge, and warrants
to Buyer as follows:
(a) Seller makes no representation regarding restrictions, zoning, or otherwise for Buyer's
land use and intended use or purpose of the Property;
(b) Seller has the right, power, and authority to enter into this Agreement and to cause the
Property to be sold in accordance with the terms and conditions;
(c) The Property is free from any use or occupancy restrictions or declarations of restrictive
covenants, except those imposed by applicable zoning laws and regulations;
(d) The Property is free from special taxes or assessments, except those generally applicable
to other properties in the tax district in which the Property is located, and Seller has no
knowledge of any governmental special taxes or assessments, either pending or confirmed,
or any pending or confirmed owners' association assessments of any nature pertaining to the
Property;
(e) No Hazardous Substances have been disposed of or are located on or about the Property.
During the Feasibility Period, Buyer may conduct the tests and investigations and obtain an
environmental analysis as provided in Subsection 3(c), and if any Hazardous Substances are
discovered to have been introduced at any time for any reason, prior to Closing hereunder, or
are present at the Property, Buyer shall notify Seller of the presence of Hazardous Substances
on the Property, and Seller and Buyer shall have the options set out in Subsection 3(c) herein;
(f) If the Property is taxed at a special use valuation, Seller will pay all special use, deferred,
or roll -back taxes, and its prorated share of ad valorem taxes assessed against the Property at
Closing. There are no other obligations, assessments, or taxes relating to the Property or
agreements involving refunds or outstanding fees or expenses for sewer or water or other
utilities, or like expenses or charges for work or services done upon or relating to the Property,
and Seller has not received notice of any annexation of the Property or notice of any special
assessments to be imposed against the Property;
(g) No commitments have been, or will be made by Seller or any predecessor of any Seller,
to any governmental unit or agency, utility company, authority, school board, church, or other
religious body, or to any other organization, group or individual relating to the Property
except any commitments made or approved by Buyer, which would impose any obligations
upon Buyer to make any contributions of money or land or to install or maintain any
improvements on the Property;

(h) Seller has not executed or caused to be executed any document with or for the benefit of
any governmental authority restricting the development, use, or occupancy of the Property
that has not specifically been disclosed to Buyer;
(i) Seller has not received any notice that the real estate tax assessment(s) of the Property
made by the New Hanover County Tax Assessor and/or the City of Wilmington Tax Assessor
has been, or is proposed to be, increased above the assessment applicable to general real estate
taxes for the calendar year of the date of this Agreement or for any subsequent year;
0) There is no pending or threatened condemnation or similar proceeding affecting the
Property or any portion thereof, nor is any such action presently contemplated;
(k) Seller has not received any actual or constructive notice of any changes contemplated in
any applicable laws, ordinances, or restrictions, or any judicial or administrative action, or
any action by adjacent landowners, or natural or artificial conditions upon the Property, which
would prevent, limit, impede, or render more costly Buyer's contemplated use of the
Property;
(1) There are no legal actions, suits, agreements, consents, orders, decrees, judgments, legal
or administrative proceedings, condemnation cases, governmental environmental cases, or
directives of the government or proceedings against or which would affect the Property, or
any portion thereof, and there are no facts which may result in any such action, suit, or other
proceeding;
(m) The Property is not subject to any:
(i) Leases, hunt leases, and/or license agreements, oral or written, and there are no
tenants of the Property;
(ii) Unrecorded easements;
(iii) Options to purchase;
(iv) Rights of first purchase or refusal;
(v) Any other agreement or contract to use, lease, license, or purchase the Property; or
(vi) Liens, lis pendens, judgments, mortgages, or deeds of trust, other than those which
shall be satisfied at Closing;
(n) Seller has fully complied with all applicable federal, state, and local laws, rules,
regulations, statutes, orders, decrees, ordinances, and codes (including all environmental
laws) applicable to the use and condition of the Property, and Seller's performance of this
Agreement will not result in the breach of, constitute any default under, or result in the

imposition of any lien or encumbrance upon the Property under any agreement or other
instrument to which Seller is a party or by which Seller or the Property is bound;
(o) Seller shall provide all compaction tests, etc. performed on the Property, or any portion
thereof, which Seller has had completed or is in the possession of Seller, within ten (10) days
of the Effective Date of this Agreement, to Buyer for its review and shall assign all rights
thereunder to Buyer, if any;
(p) Seller has no knowledge of any matter or fact which would prevent, limit, impede, or
render more costly Buyer's contemplated use of the Property; and
(q) Seller discloses that it is aware of information contained in a Phase I Environmental Site
Assessment of the Property indicating a recognized environmental condition (REC)
associated with a nearby off -site property formerly operated as the Heatcraft facility. Reported
conditions include the presence of hazardous constituents on that property, ongoing
remediation activities, and an undetermined extent of impacts. Based on available
information, such conditions are located off -site; however, their proximity, relative
topography, and uncertain extent were identified as presenting a potential for impact to the
Property. Seller makes no representation or warranty as to the nature, extent, or impact of
such conditions, and Buyer shall have the opportunity to conduct its own independent
investigation(s) of the Property during the Feasibility Period.
The aforesaid representations and warranties shall be reasserted in one (1) or more certificate(s) of
Seller at Closing, and all such representations and warranties shall survive Closing.
10. Buyer's Representations. Buyer represents and warrants to Seller that the Buyer is a nonprofit
corporation organized and existing under the laws of the State of North Carolina and is active,
current, and in good standing with the Office of the Secretary of State of North Carolina.
11. Cooperation. The Parties hereto agree to cooperate with each other in every reasonable way
in carrying out the transaction contemplated hereby, in obtaining and delivering all required
Conveyance Documents and obtaining all required information and governmental approvals, and the
Parties agree to use their best efforts to expeditiously accomplish same.
12. Right to Assign. Buyer shall not assign this Agreement, in whole or in part, without Seller's
prior written consent, which shall not be unreasonably withheld; provided, however, that any
permitted assignment shall be limited to a nonprofit land trust, conservation organization, or other
entity qualified to hold and manage conservation land for public benefit. Any unauthorized
assignment shall be void.
13. Notices. Unless otherwise provided herein, all notices required or permitted hereunder shall
be in writing (which shall include electronic mail) and shall be deemed to have been properly given
and received personally delivered, sent via telephone facsimile transmission or electronic mail in
electronic portable document format (.pdf) or by certified mail, return receipt requested, Federal

Express, UPS, or other comparable recognized overnight delivery service, and, if mailed or sent by
Federal Express, UPS, or other recognized comparable overnight delivery, the notice shall be
addressed to the Parties using the addresses set forth in the introductory paragraph of this Agreement
or to the attorney or agent for such Party or to such other address or addresses of which any Party
may advise the other Party from time to time pursuant to the provisions of this Section 13. Any such
notice shall be deemed given on the date personally delivered, the date of the facsimile or electronic
transmission, or the date indicated on the return receipt or delivery service records as having been
given. If a notice is sent by more than one method, it will be deemed received upon the earlier of the
dates of receipt pursuant to this Section.
14. Unavoidable Delay. Each Party shall be excused from performing any of its respective duties
and obligations hereunder in the event that, and so long as, performance of such duties and
obligations is prevented, delayed, retarded, or hindered by acts of God, epidemics, fires, earthquakes,
floods, extreme weather conditions, undue precipitation, war, invasion, insurrection, riot, mob
violence, civil commotion, sabotage, malicious mischief, strikes, lockouts, condemnation, action of
labor unions, impossibility of obtaining materials, or other events beyond the reasonable control of
the Parry in question. Any one or more of the foregoing is herein referred to as an "Unavoidable
Delay". However, it shall be a condition to the right to claim an Unavoidable Delay that the Party
claiming such right shall notify the other Parry within fifteen (15) days after the occurrence of the
Unavoidable Delay, specifying the nature thereof and the period of delay claimed or the basis for
computing the period of such delay.
15. Survival. All provisions and conditions of this Agreement, unless the context clearly indicates
a contrary intent, shall survive Closing and delivery of the deed to Buyer.
16. Entire Agreement. This Agreement contains the entire agreement among the Parties. There
are no promises, agreements, conditions, undertakings, warranties or representations, oral or written,
express or implied, among them, other than as herein set forth. This Agreement is intended by the
Parties hereto to be an integration of all prior or contemporaneous promises, agreements, conditions,
negotiations and undertakings between the Parties hereto. This Agreement may not be modified
orally or in any manner other than by an agreement in writing signed by all the Parties hereto or their
respective successors in interest.
17. Miscellaneous. This Agreement shall be governed by and construed in accordance with the
laws of the State of North Carolina. If any one or more of the provisions of this Agreement shall for
any reason be held to be invalid, illegal, or unenforceable in any respect, then such invalidity,
illegality, or unenforceability shall not affect any other provision hereof. Section headings throughout
this Agreement are solely for the convenience of the Parties and are intended to have no legal
meaning in and of themselves. Where the context requires, the masculine, feminine, and neuter
genders may be substituted for one another, as may be the singular for the plural number, and vice
versa.

18. Execution. This Agreement shall be void and of no further force and effect unless Seller
executes and returns this Agreement to Buyer within ten (10) days from the date of execution by
Buyer.
19. Counterparts. This Agreement may be executed in one or more counterparts each of which
shall be deemed an original, but all of which together shall constitute one and the same instrument.
Copies of original signature pages of this Agreement may be exchanged by facsimile transmission
or electronic portable document format (.pdf), and any such copies shall constitute originals and shall
be effective as delivery of a manually executed counterpart of this Agreement.
20. Enforceability and Binding Effect. This Agreement shall become a contract when signed by
both Buyer and Seller and such signing is communicated to both Parties; however, notice given in
accordance with Section 13 shall not be required for effective communication for purposes of this
Section 20. All of the covenants, conditions, and obligations contained in this Agreement shall be
binding upon and inure to the benefit of the respective legal representatives, successors, and assigns
of Seller and Buyer.
21. Authority. Each signatory to this Agreement represents and warrants that he or she has full
authority to sign this Agreement and such instruments as may be necessary to effectuate any
transaction contemplated by this Agreement on behalf of the Party for whom he or she signs and that
his or her signature binds such Party.
22. Dates and Days. Buyer has executed this Agreement first and then offered this Agreement for
acceptance to the person(s)/entity(ies) named herein as Seller. Accordingly, the terms "date of this
Agreement" or the "date hereof' wherever used herein, shall mean the Effective Date. Any reference
made herein to "days" the same shall mean "calendar days".
23. Attorneys' Fees. If legal proceedings are instituted to enforce any provision of this
Agreement, the prevailing Party in the proceeding shall be entitled to recover from the non -prevailing
Party reasonable attorneys' fees and court costs in connection with the proceeding.
24. Statutory Compliance. The transaction contemplated by this Agreement is expressly
contingent upon compliance with all applicable North Carolina General Statutes governing the
disposition of public property, including, but not limited to, N.C.G.S. 160A-279. In the event such
statutory requirements are not satisfied, Seller may terminate this Agreement without penalty.
25. Naming and Recognition. Buyer agrees that following the Closing on the purchase of the
Property, Buyer will recognize "Flossie Bryan" or "Bryan" in a prominent and permanent fashion on
the Property or any park, trail, environmental education center, or another major improvement
thereafter established on the Property.

Consideration of Resolution Authorizing the Termination of the New Hanover Regional Medical Center Pension
Plan with No Reduction in Benefits to Plan Participants
BRIEF SUMMARY:
In connection with the February 1, 2021 consummation of the Asset Purchase Agreement by and among New Hanover
County, New Hanover Regional Medical Center, and Novant Health New Hanover Regional Medical Center, LLC
("Novant") (the "Agreement"), New Hanover County (the "County") became the sponsor for the Pension Plan for the
Employees of New Hanover Regional Medical Center (the "Plan"). In connection with the Agreement, participant
benefits under the Plan were frozen as of February 1, 2021, which meant that (a) no individual could enter the Plan as a
new participant, and (b) no new benefits were accrued by participants; however, benefits earned up to that date were
preserved for participants.
As part of the Agreement and based on actuarial estimates, Novant made a one-time contribution of $88 million to a
trust held by the County to fully fund the Plan for participant benefits. As the plan sponsor and as part of the
Agreement, the County then became the Plan administrator responsible for general Plan maintenance and for
participant benefits under the Plan. This meant that if actuarial assumptions were not correct or the Plan's investments
did not have returns consistent with expectations, the County could be required at future dates to make cash
contributions to the Plan, although this has not occurred to date.
After several years of stock market volatility, in which the value of the Plan assets fluctuated both above and below the
actuarial liability of the Plan, the Plan's assets now consistently exceed the estimated liability of the Plan. Accordingly,
County staff believes it is in the best interest of the County to terminate the Plan. This termination would result in no
reduction in benefits to Plan participants.
A plan termination generally involves entering into an arrangement with an annuity provider in which that company
agrees to assume the payment liabilities for Plan participants in exchange for an upfront cash payment from the trust
that is maintained by the plan sponsor. As noted above, staff believes that the amount of assets currently in the Plan is
at such a level that it will fully fund the necessary payment to an annuity provider to transfer the pension liability from
the County to the provider and eliminate this contingent liability of the County.
If the attached resolution is adopted, the County will bid out the Plan to multiple highly rated annuity providers and
begin the plan termination process. The impact to Plan participants is expected to be minimal, as follows: (1)
participants are expected to be provided with an option to accept a lump sum payment to settle their pension
obligation, and (2) for those participants that do not elect the lump sum option, their future monthly payments will be
funded by an annuity provider instead of a trust held by the County, and the payment amount will not change to the
participant. The selection of the provider is a fiduciary function to be performed in the best interest of the participants,
and the selected provider will be determined with that understanding.

The proposed plan termination date is July 31, 2026, and any lump -sum benefits that are elected are expected to be
paid beginning in November 2026.
Currently, there are 5,S02 participants in the Plan, with 1,517 who continue to be employed by Novant and are not
receiving benefits, 2,637 who are no longer employees of Novant and are not yet receiving benefits, and 1,348
participants who are currently receiving benefits.
The attached resolution provides staff with the authority to move forward with the termination of the Plan.

RESOLUTION AUTHORIZING THE TERMINATION OF THE NEW HANOVER
REGIONAL MEDICAL CENTER PENSION PLAN
WHEREAS, the New Hanover Regional Medical Center (the "Center") previously sponsored and
maintained the Pension Plan for the Employees of the Center, as amended and restated
effective January 1, 2020, and as subsequently amended (the "Plan"); and
WHEREAS, pursuant to Section 11.1 of the Plan, the Center had reserved the right to amend the
Plan at any time; and
WHEREAS, in connection with the consummation of the transactions under that certain Asset
Purchase Agreement by and among New Hanover County, the Center, and Novant Health New
Hanover Regional Medical Center, LLC (the "Agreement"), and the related termination of
employment for all Plan participants, the Center amended the Plan to: (1) reflect that the Plan
became frozen and that no additional benefits would accrue under the Plan with respect to any
period after the closing date under the Agreement; (2) reflect that all Plan participants became
fully vested as of that same date; and (3) transfer sponsorship of the Plan to the County; and
WHEREAS, as a result of the consummation of the transactions under the Agreement and as
reflected in the amendment adopted by the Center, the County currently sponsors and maintains
the Plan for the benefit of Plan participants; and
WHEREAS, pursuant to Article 11 of the Plan, the County has the authority to amend or terminate
the Plan on behalf of itself and all affiliated employers, if any, in accordance with the procedures
set forth therein; and
WHEREAS, the County desires to terminate the Plan effective on or about July 31, 2026
(the "Termination Date") with no reduction in benefits to plan participants, and amend the Plan
for certain related changes, to the extent appropriate or necessary to comply with applicable
laws.
NOW, THEREFORE, BE IT RESOLVED by the New Hanover County Board of Commissioners that:
1. The County hereby terminates the Plan, effective on the Termination Date, pursuant to
Section 11.2 of the Plan.
2. The officers of the County shall be, and each of them hereby is, authorized to amend the
Plan to the extent they deem necessary, advisable, or desirable in connection with the
termination of the Plan, including, without limitation, any amendments necessary to
maintain its tax qualification or otherwise comply with applicable law.
3. The officers of the County shall be, and each of them hereby is, authorized to make any
commitments they deem necessary, advisable, or desirable to ensure that the assets of
the Plan shall be sufficient to provide for benefits under the Plan as a result of the
termination of the Plan in accordance with applicable law.

4. Benefits payable under the Plan shall be paid at such times and pursuant to such terms
and conditions are set forth in the plan and in the termination amendment.

make, execute, deliver, and file or cause to be made, executed, delivered, or filed, any and
all such additional agreements, tax returns, reports, filings, documents, instruments, and
certifications as any one or more officers shall deem necessary, advisable, or desirable to
implement the termination of the Plan and to carry out the full intent and purposes of the
foregoing resolutions, including, without limitation, providing notices to participants in
the Plan and other relevant parties, filing such reports, applications, statements, and
other documents with applicable governmental agencies, and paying such fees and costs
as determined in the discretion of such officers to be necessary or appropriate with
respect to the termination of the Plan, and to take such further action as may be deemed
necessary, appropriate, or convenient to fully implement and effectuate the intent of the
foregoing resolutions and the termination of the Plan, subject to the preservation of any
protected rights and features, including, but not limited to, the adoption of any
amendments to the Plan, and to otherwise secure and maintain for the Plan its
compliance with the requirements of the Code, and the taking of such further action by
such officers shall be conclusive evidence of such necessity, appropriateness, and
convenience; and
6. All actions heretofore taken by any appropriate officers or directors of the County
in connection with any matter referred to in any of the foregoing resolutions are
hereby approved, ratified, and confirmed in all respects.

BRIEF SUMMARY:
The Board of County Commissioners has previously indicated an intent to place a referendum on the November 3,
2026 ballot to consider the issuance of $320.5 million in general obligation bonds for capital projects for New Hanover
County Schools.
The intended use of funds includes the following projects:
• Phase I of the New Hanover High School Master Plan
• A new Trask Middle School, with the existing Trask Middle School becoming part of Laney High School, which
will address capacity issues
• A new elementary school at Riverlights, which would replace Mary C. Williams
• Pine Valley Elementary School building replacement
• Porters Neck Elementary School building addition to address capacity issues
• District -wide systems/infrastructure replacements, safety improvements, and technology improvements
The attached resolutions are the first steps in the referendum process and are summarized as follows:
1. A resolution directing the publication of a "Notice of Intention to Apply to the Local Government Commission
for Approval of Bonds" in the amount of $320,525,000.
2. A resolution making certain findings of fact, which are summarized as follows (please seethe full resolution):
a. Necessity of Proposed Financing— The proposed bonds are necessary to finance capital costs of school
facilities.
b. Amount of Bonds — The proposed amount of the bonds is adequate and not excessive.
c . Debt Management Procedures & Policies — The County's debt management has been sound and in
compliance with applicable laws, and the County is not in default on any prior debt issuances.
d. Past Budgetary and Fiscal Management Policies — The County's budgetary and fiscal management policies
have been carried out in compliance with applicable laws, and financial information, including budget
amendments, is reported regularly to the Board.
e. Increase in Taxes — Any increase in taxes to service the proposed bond debt will not be excessive, and the

projects have been carefully analyzed and determined by persons knowledgeable about
the projects.
C. Past Debt Management Procedures and Policies. The County's debt management
procedures and policies are good and have been carried out in compliance with the law.
The County employs a Chief Financial Officer to oversee compliance with applicable laws
relating to debt management. The Board requires annual audits of County finances. In
connection with these audits, compliance with laws is reviewed. The County is not in
default in any of its debt service obligations. The County Attorney reviews all debt -related
documents for compliance with laws.
D. Past Budgetary and Fiscal Management Policies. The County's budgetary and fiscal
management policies have been carried out in compliance with laws. Annual budgets are
closely reviewed by the Board before final approval of budget ordinances. Budget
amendments, changing a function total or between functions are presented to the Board
at regular Board meetings. The Chief Financial Officer presents financial information to
the Board which shows budget -to -actual comparisons annually and otherwise as the
County Manager deems necessary or as a member of the Board may request.

E. Increase in Taxes. The increase in taxes, if any, necessary to service the proposed debt will
not be excessive. The schedule for issuance anticipates issuing all of the bonds in one or

G. Estimated Interest. The assumptions to be used by the County's Chief Financial Officer in

BE IT FURTHER RESOLVED that the Board hereby authorizes and directs the Chief Financial Officer
of the County to file with the Commission an application for its approval of General Obligation

Consideration of New Hanover County Journeyman Program Ordinance Amendment
BRIEF SUMMARY:
New Hanover County established local journeyman programs for the electrical, plumbing, and mechanical trades in the
early 1970s, prior to the development of a comprehensive statewide licensing and training framework. At that time,
these programs helped establish minimum competency standards and supported public safety.
Since then, North Carolina has implemented statewide contractor licensing, uniform building code enforcement, and
structured apprenticeship and workforce training programs through ApprenticeshipNC and community colleges. These
systems now provide standardized qualifications, oversight, and enforcement across the state.
Staff have conducted a thorough review and analysis of the program and discussed its effectiveness with stakeholders,
including the County's Boards of Examiners. Based on this review, staff recommend sunsetting the County's local
journeyman programs to align with statewide practices and reduce administrative duplication while maintaining the
same level of safety and accountability through existing state licensing, inspection, and training systems.
If approved, Chapter 11 of the New Hanover County Code of Ordinances will be amended to remove references to
the journeyman program and the associated Boards of Examiners, and appropriate communication will be provided to
all impacted stakeholders.
The journeyman program has served the County well for more than 50 years, and the transition to state -led systems
will continue to ensure strong standards, accountability, and public safety moving forward.

Overview and Recommendation for New Hanover County's
Journeyman Program
Background and Statewide Changes
The New Hanover County Journeyman Program was formally created and adopted by the
Board of Commissioners in the early 1970s and remains codified today in the County's
Ordinance. The program provides local credentialing and exams for electrical, plumbing, and
mechanical trade workers. County staff manage applications and testing, and the three
Commissioner -appointed Boards of Examiners review results and issue journeyman cards.
When the County created the program in the 1970s, the state did not have a comprehensive
system for licensing trades, a statewide building code did not exist, apprenticeship options
were limited, and oversight varied across counties. The local program was intended to fill
the gap and established minimum competency standards, helped protect public safety, and
allowed workforce mobility through reciprocity among participating jurisdictions.
Over the last five decades, the state has built a unified framework for licensing, oversight,
and training. State licensing boards now set standards, enforce compliance, and impose
penalties, including fines and license suspension or revocation. ApprenticeshipNC provides
structured, state -monitored training with a recognized statewide credential that prepares
workers for skilled trade careers. The North Carolina State Building Code is also standardized
and enforced uniformly.
As a result, New Hanover County is among one of the only counties to still operate a local

that ending local programs has created safety issues, demonstrating that the statewide
framework is effective and sufficient.
State Licensing and Training
State law requires licensed contractors to hold the permit for any work performed and to
assume full legal responsibility for the project. State licensing boards enforce this
responsibility by setting standards, overseeing examinations, and continuing education, and
issuing disciplinary actions such as fines or license suspension or revocation. A county
journeyman card does not change or limit this authority.

Modern apprenticeship programs now provide a clear pathway for individuals to enter the
plumbing, electrical, and mechanical trades. Through ApprenticeshipNC, Cape Fear
Community College partners with regional employers to offer structured on-the-job training
and classroom instruction. Graduates earn a statewide credential that exceeds the scope
and rigor of our local journeyman program and ensures new workers are trained to a
consistent and high standard.
Building Safety
Building safety rests on three elements: licensed contractors who must meet state
standards, certified inspections that enforce compliance, and mandatory adherence to the
North Carolina State Building Code. Every permit requires work to meet state code, and
inspectors can withhold approvals, fail inspections, or require corrections when work does
not comply. If a contractor repeatedly violates these standards, the state licensing board
can suspend or revoke their license. This statewide framework creates multiple layers of
accountability and protects public safety without a county level credential.
Given this structure, Inspectors would continue to rely on the licensed general contractor to
ensure workers are qualified. State law already holds the general contractor fully responsible
for the work, with or without a local journeyman program.
Stakeholder Feedback
Staff met with the County's Electrical, Mechanical, and Plumbing Boards of Examiners to
gather feedback on the proposed sunset of the local journeyman program and consulted
with additional stakeholders, including code compliance officials and Cape Fear Community
College (CFCC).
The Electrical Board expressed concerns about eliminating the program, citing potential
impacts to local standards and accountability. Members noted that the local program
requires more hours than the state licensing pathway and suggested the County consider
updating the program rather than ending it.
In contrast, the Mechanical and Plumbing Boards both expressed unanimous support for
ending the program, describing it as outdated and redundant given existing state licensing
requirements. Members noted that contractor licensing, supervision requirements, and state
code enforcement already ensure safety and quality.
CFCC also supported discontinuing the program, noting that current apprenticeship and
education pathways aligned with state licensing requirements now fulfill the workforce
development role previously served by local journeyman programs.
Overall, most stakeholders indicated the County's local program no longer provides a distinct
benefit beyond existing state licensing and training systems.

The journeyman programs were innovative and necessary when established more than fifty
years ago. However, statewide licensing, uniform code enforcement, and modern
apprenticeship programs now provide a clearer and more comprehensive framework for
workforce qualification and public safety oversight.
County staff recommends ending the program to streamline operations, align with statewide
practices, and preserve the same level of safety and accountability for residents.
If the Board approves, amendments to remove the journeyman program and the three
Boards of Examiners in Chapter 11 of the New Hanover County Code of Ordinances will be
codified.
Notifications to stakeholders will also take place, including current journeyman cardholders
and trade professionals, through a public information campaign that includes direct emails
and letters, the County website, the COAST portal, trade group newsletters, and other
channels. This communication will outline the history and end of the program along with
state licensing requirements, apprenticeship pathways, and related resources.
All internal procedures and public -facing materials will be updated, and staff will continually
monitor any questions or issues during the transition.

AMENDING NEW HANOVER COUNTY CODE OF ORDINANCES CHAPTER 11
The New Hanover County Board of Commissioners does hereby enact and ordain that the New Hanover
County Code of Ordinances, Chapter 11, Articles IV, V, VI, and Appendix B, Fee Schedule, Buildings and
Building Regulations, be amended as follows:
Amend Article IV, Electrical Code, Division 1, Section 11-121, Definitions, by deleting the
following portions:
Apprentice electrician means a person who does any work of installing wires, conduits,
apparatus, fixtures and other appliances for hire under the direction and supervision of an
electrical contractor or a journeyman electrician.
Electrical contractor means a person who, by the employment of journeyman electricians or
apprentice electricians, performs the work of installing wires, conduits, apparatus, fixtures and
other appliances for carrying or using electricity for light, heat and power purposes or who
holds himself out to the public or advertises to take contracts for the installation of electric
wires, conduits, apparatus, fixtures and other appliances for carrying or using electricity for
light, heat or power or their alteration, renewal or repair.
Journeyman electrician means a person at least 18 years of age who does any work of installing
wires, conduits, apparatus, fixtures and other appliances for hire.
II. Repeal Article IV, Electrical Code, Division 5, Electricians, as follows:
Article IV, Electrical Code, Division 5, Electricians, Sections 11-241, 242, and 243 are hereby
repealed and the Division and Sections are to be designated as reserved for future use.
III. Repeal Article V, Plumber's License, Division 1, Board of Plumbing Examiners as follows:
Article V, Plumber's License, Division 1, Generally, is hereby repealed and the Division and
Sections are to be designated as reserved for future use.
IV. Repeal Article V, Plumber's License, Division 2, Board of Plumbing Examiners, as follows:
Article V, Plumber's License, Division 2, Board of Plumbing Examiners, is hereby repealed and
the Division and Sections are to be designated as reserved for future use.
V. Repeal Article VI, Regulation of Mechanical Work, in its entirety and the Division and Sections

Terms: Commission members shall be appointed to serve a term of three (3) years. For the initial
commission, three (3) of the members shall serve a term of one (1) year; three (3) of the members shall serve
a term of two (2) years; four (4) of the members, plus the one (1) member from the leadership of UNCW Latino
Alliance, or designee, shall serve a term of three (3) years. Members shall serve no more than two (2) full
successive terms unless there is a break of at least one (1) full year between appointments.
Regular Meetings: At a minimum, the commission shall meet quarterly. The time, day and place of these
meetings will be set at its inception and then thereafter each year by the commission.
Statute or cause creating Board: BOCC resolution and bylaws adopted February 20, 2023.
Brief on the functions: The commission is established to advise the Board on matters related to the
Hispanic/Latino community and to serve as a liaison between the community and New Hanover County
(County). The commission will work to promote understanding, inclusiveness, and equality for the
Hispanic/Latino community in the County. The Commission shall be organized for the purpose of acting as an
advocate for the Hispanic/Latino Community and a resource of information on the status of Hispanics/Latinos
in the County:
• To identify the status of the Hispanic/Latino population in the County and assess their needs.
• To provide a status report of the Hispanic/Latino population in the County on an annual basis to the
Board.
• To provide information and recommendations to the Board on the needs and issues important to
Hispanics/Latinos as it deems necessary in improving and upholding the opportunities in
employment, education, and community services for all people, regardless of gender or age.
• To work toward the betterment of the status of Hispanics/Latinos with respect to employment and
educational opportunities, health services, childcare services, welfare services, financial services,
and community leadership opportunities.
• To serve as an umbrella to coordinate and support all Hispanic/Latino initiatives, organizations, and
networks in the County including coordinating and cooperating with the Latino Alliance and other
organizations involved in activities on the status of Hispanics/Latinos.
• To conduct educational seminars in collaboration with other organizations for residents and

I am Colombian by birth; I moved to America seven years ago and married my husband, a
retired military man with a disability. We have a three -year -old son. He worked as a
Community Protection Officer (CPS) for the Oregon government and now works as a bilingual
family therapist for Amikids, the company contracted by the Department of Juvenile Justice.
We provide family therapy for teenagers who have committed crimes and want to improve
their behavior. Most of the families I work with are from the Latino community, where I
witness firsthand the challenges Latino families are currently facing.
Volunteer Activities
I volunteer at a hospice, helping to translate information for hospice clients, including
medication details and generally anything that requires translation between English and
Spanish.
Why are you interested in serving on a board or commission?
I want to serve the Latino community, especially during these stressful times, marked by
legal uncertainty due to discrimination and immigration status. I understand the needs of the
Latino community because I work with Latino families every day, and I want to contribute by
recognizing those needs and working to improve the services available to the Latino
community.
What areas of concern would you like to see addressed by this committee?
I am concerned about the mental health and stress that the Latino community is
experiencing, family disconnection, and language barriers, where teenagers in the same
household don't speak the native language of their caregivers. I am also concerned about
access to services and how immigration status is an obstacle to accessing these services, as
well as the importance of connecting Latino families with the services available.

I have a Master's degree in Social Work and a Master's degree in Marriage and Family
Therapy, but, above all, as an immigrant and Latina, I have lived experience and have
worked with the Latino community since moving to this country. I know the needs, and my

NEW HANOVER COUNTY
NURSING HOME COMMUNITY ADVISORY COMMITTEE
Number of Members: 11 State mandated; may appoint up to 16 based on the number of nursing homes.
The Nursing Home Administrators may nominate one-third of the members.
Term of Office: 1-year term initially; 3-year term thereafter
Brief on the functions: Each member shall be aware of the general conditions under which the persons
are residing in the homes, and shall work for the best interests of the persons in the homes. This may
include assisting persons who have grievances with the home and facilitatingthe resolution of grievances
at the local level. Each member shall make quarterly visits to the nursing home it serves and more often
if it is necessary to carry out the duties. Statute or cause creating Board: N.C. General Statute 131 E-128.
Qualifications: Must be a resident of New Hanover County. No person or immediate family member of a
person with a financial interest in a home served by the committee, or employee or governing board
member of a home served bythe committee, or immediate family member of a resident in a home served
by the New Hanover County Nursing Home Community Advisory Committee may be a member of this
committee. Immediate family is defined as mother, father, sister, brother, child, grandmother, and
grandfather, as well as in-laws. Applicants must complete all Community Advisory Committee (CAC)
Orientation training before being certified, designated, and appointed as a CAC volunteer. Upon
application, an Ombudsman with the Cape Fear Council of Governments will work with applicants
through the training process.
Regular Meeting: Quarterly Meetings are held on the second Tuesday of January, April, July, and October
at 3:00 p.m. at the Cape Fear Council of Governments, 1480 Harbour Drive, Wilmington, NC.

TOURISM DEVELOPMENT AUTHORITY
Number of Members: 15 voting members: 5 ex-officio members and 10 members appointed by the
Board of County Commissioners. The five ex-officio members are the Chairman of the Board of
County Commissioners, the Mayor of the City of Wilmington, and the Mayors of the Beach towns or
whomever they appoint by each elected body. The other ten members are in the following categories
and must have experience in promoting travel and tourism:
a. Owner/manager of a hotel of 150 rooms or more in the Town of Wrightsville Beach
b. Owner/manager of a hotel in the Town of Carolina Beach
c. Owner/manager of a hotel in the Town of Kure Beach
d. Owner/manager of a hotel of 150 rooms or more in the City of Wilmington
e. Owner/manager of a hotel of fewer than 150 rooms in the City of Wilmington
f. Owner/manager of a bed and breakfast facility
g. Owner/manager of company that manages and rents more than 100 vacation rental

i. Representative of the Wilmington Chamber of Commerce

Term of Office: 3 years with no one serving more than two consecutive full terms (excluding Chairman
of Commissioners and Mayors).
Regular Meetings: Fourth or Fifth Wednesday of every other month at 5:30 p.m. at various locations
in the county.
Statute or cause creating Bureau: On October 3, 2002, through House Bill 1707, the North Carolina
General Assembly directed that the New Hanover County Board of Commissioners designate the Cape
Fear Coast Convention and Visitors Bureau as a Tourism Development Authority (TDA) to promote
travel, tourism, and conventions in New Hanover County, and to administer related tourism
expenditures. The TDA shall take effect and come into creation on January 1, 2003, with all those
powers, rights and duties set forth in House Bill 1707, Session 2001. The Authority shall hereinafter
be known and operated as the New Hanover County Tourism Development Authority d.b.a. Cape Fear
Coast Convention and Visitors Bureau.

I am interested in serving on a board or commission because I care deeply about the
continued growth and success of our community. Having previously served as Past Chairman
of New Hanover County's TDA and on the Marketing and Advertising Committee for the Town
of Carolina Beach, I have seen firsthand how thoughtful leadership and collaboration can
positively impact local businesses, tourism, and quality of life. I value the opportunity to
contribute my experience, perspective, and time to help guide responsible decisions that
support long-term economic vitality and community development. Serving in this capacity
allows me to give back while working alongside others who share a commitment to
strengthening our community.
What areas of concern would you like to see addressed by this committee?
I would like to see the committee focus on sustainable growth, responsible tourism, and
strategies that support local businesses while preserving the character of the community.
Ensuring that marketing efforts attract visitors who appreciate and respect the area is
important, as well as maintaining a balance between economic development and quality of
life for residents. I am also interested in strengthening partnerships between local
government, businesses, and community stakeholders to promote long-term success.
Qualifications for Serving
I bring prior public service experience, including serving as Past Chairman of the New
Hanover County TDA and as a member of the Marketing and Advertising Committee for the
Town of Carolina Beach. Through these roles, I gained valuable insight into tourism
development, strategic marketing, and the importance of collaboration between local
government and the business community. I also have a strong understanding of the local
market and the needs of both residents and visitors.

As a Magistrate judge and an attorney for DSS, I have seen first hand the impact of the
criminal justice system on our youngest and most vulnerable citizens. I would like to

Professional Activities I was a Program Director of Hospitality Management for 30
years at CFCC. I worked in the industry in various US and
Caribbean locations. Prior to that, I worked with young people
in the Cook County, Chicago Court System.
Volunteer Activities Good Shepherd Shelter, 25+ years, weekly helping sort
donations and preparing meals, faculty advisor to student club -
Pineapple Guild- we did community service volunteer work for

Statute or cause creating Commission: County Commissioners endorsed the formation of this
Commission on 12/16/1974. (Minute Book 16, page 67) The County Commissioners assigned the
Commission the responsibility of studying and preparing recommendations for the best use of the
Room Occupancy Tax Funds to be presented to them for approval. The Commissioners expanded
the membership by adding a Kure Beach representative on 4/16/1984 (Minute Book 19).
Furthermore, the Commissioners added a member of the NC Shore & Beach Preservation on
5/16/2005, County Finance Director as special appointee on 2/16/2004, and the Figure 8
Homeowners Association president or designee as an ex-officio member on 7/1/2013.
Purpose of Commission: To investigate, initiate, and support general water resource development
projects to include but not limited to:
1. Port, waterway and river improvements supporting the shipping industry;
2. Beach nourishment and conservation in conjunction with inlet management; and
3. Water resource development projects that will serve industry; encourage tourism;
commercial/charter fishing; recreational boating and mitigate the threats of storms and
flooding
Functions: The Commission will cooperate closely with the U.S. Corps of Engineers, the N.C.
Division of Water Resources and other federal and state agencies in the pursuit of projects that may
benefit our community. The Commission will also work with elected officials including federal and
state officials and such non -profits as the NC Beach Inlet and Waterway Association (NCBIWA) and
the Carolina Beach Inlet Association (CBIA) to garner support, cooperation and funding as
appropriate. The Commission will pursue these projects with full consideration of potential

Professional Activities
I serve as the Coastal Management Program Director with the North Carolina Coastal
Federation, where I focus on water quality, coastal resilience, and responsible development
across the Cape Fear region. My work involves collaborating with local governments, state
and federal agencies, and community stakeholders on issues ranging from dredging and
sediment management to stormwater impacts and coastal habitat protection. I regularly
translate technical and scientific information into accessible insights to support informed
decision -making.
Volunteer Activities
I serve on the board of the Wrightsville Beach Chamber of Commerce, where I support
initiatives that strengthen the local business community and coastal economy. I also have
served a number of years on the board of the Wrightsville Beach Outrigger Canoe Club,
where I actively chair committees and support initiatives that strengthen the club and
promote paddling and clean water in the community. I am also engaged in coastal
stewardship and public education efforts focused on water quality, habitat protection, and
sustainable coastal practices, working alongside local partners and community members to
promote long-term environmental health.
Why are you interested in serving on a board or commission?
This commission sits at the intersection of some of the most important and complex issues
facing our region, including coastal resilience, water quality, and sediment management.
Through my work, I've seen how decisions around dredging, beach nourishment, and port
expansion can have lasting impacts on our natural systems and communities. Serving on the
Chamber board has also given me insight into the importance of a strong, sustainable
coastal economy. I'm interested in contributing a perspective that helps align economic
priorities with long-term environmental stewardship through balanced, science -informed
decision -making. As someone who grew up in Wilmington and spends a lot of time on and in
these waters, I have a personal connection to the health of our coast that complements my
professional perspective. I'm interested in contributing a balanced, science -informed voice

What areas of concern would you like to see addressed by this committee?
I'm particularly interested in how this commission can support thoughtful, long-term planning

limited resources and uncertain futures. I see the commission as a key resource for guiding
strategic decisions, improving coordination between agencies, and helping the public
understand projects that affect our coastal resources. By focusing on long-term management
and sustainable investments, such as occupancy tax -funded projects, the commission can
help ensure that economic development, community access, and the health of our coastal
systems are all considered in planning for a resilient and vibrant future.

• As a registered lobbyist with the state of North Carolina, work with members of the N.C. General
Assembly to advance the Federation's legislative agenda on emerging contaminants, offshore oil drilling,
coastal water quality, living shorelines, oysters and marine debris.
• Prepare comment letters for state and federal agencies and local boards and commissions to represent
the Federation's stance on key advocacy issues.
• Coordinate all tasks and deliverables for the Coastal Management Program; establish and achieve annual

• Manage the Lower Cape Fear River Blueprint, a collaborative planning effort to protect, manage and
restore the important estuarine and riverine natural resources of the lower Cape Fear River.
• Manage conservation easement properties located within the Southeast region, including the 52-acre
Morris Landing Clean Water Preserve, which stages oyster restoration and living shoreline activities.

Loggerhead Marinelife Center (LMC)

Built relationships with community partners, including the Cultural Education Council, Palm Beach
County School District, Resources in Science Education and local foundations, which allowed LMC to
expand its audience by over 150% in less than two years.
Developed and implemented curriculum based on up-to-date Florida and NGSS educational standards,
highlighting LMC's mission of promoting the conservation of ocean ecosystems with a special focus on

Lead/Principal Investigator on grant and foundation proposals to expand LMC education programming.
$115,000 in extramural funding allowed LMC to increase the number of free programs for Title 1 school
children, create a Marine Science Academy for local high school students, and reach over 16,000 at risk K-
12 youth in Palm Beach County.
Managed 2 permanent and 10 seasonal staff and interns. This included hiring, conducting performance
evaluations, and providing staff development and training opportunities.
Administered $170,000 in program budgets and managed $366,000 in revenue so that objectives, as
outlined for each LMC education program, could be met on time and within budget.

• Designed, coordinated, and executed field studies, including all logistics (e.g. permits, purchasing supplies
and equipment, implementing new technology) involved in leading and managing a research team.
• Examples of field studies include: estuarine sediment mapping on Marine Corps Base Camp Lejeune;
oyster reef restoration and flow analyses behind Masonboro Island NERR, river monitoring on the Cape
Fear River, and hydrological and sediment analyses in numerous barrier beach and estuarine settings.
• Managed lab (e.g. equipment calibration, order supplies, maintain facilities) and trained faculty, students,
and staff on the use and operation of field and laboratory instruments.
Research Assistant for the Coastal Ocean Research & Monitoring Program (CORMP)
• Created High Frequency Radar informational materials and signage for the general public that highlight
the use of HF Radar in science, policy, and public safety/marine operations.
• Developed N.C. Climate Change curriculum for Fort Caswell's K-12 summer science programs.

• Developed curriculum and activities for a range of age groups enrolled in summer enrichment camps
(Sea Squirts, age 5-6; Coast Trek, age 11-12; Ocean Lab, age 13-14; and O.C.E.A.N.S., age 15-16).
• Conducted field labs in marine biology, marine and estuarine ecology, barrier island dynamics, ocean
observing, and water quality; led student research missions aboard the R/V Cape Fear.
Hawaiian Islands Humpback Whale National Marine Sanctuary

• Created and implemented Climate Sleuths: Tracking Changes in Your Community, a 250-page curriculum,
designed around four primary units: water quality, beach profiles, sand composition, marine algae.
• Trained community volunteers in the Sanctuary's on -going water quality monitoring program. Enhanced
training curriculum to also include beach profile surveys, sand composition analysis in response to ocean
acidification, and marine alga collection and identification as an indicator of eutrophication and coral
health.
• Assisted Sanctuary and Hawaii Department of Land and Natural Resources staff with local coral reef and
fish surveys and assisted in collection of underwater video for Sanctuary use.
