BRIEF SUMMARY: New Hanover County requires a county issued franchise to collect solid waste. Pursuant to County Ordinance 44.55, the applicant has provided information about business organization, equipment, personnel, and fiscal responsibility. The Environmental Management Director has no objections to the franchise request. The franchise period would run for seven years. All franchise agreements shall now include the following requirements: Should franchisee provide curbside collection for services; franchisee must also offer customers a curbside recycling option. Staff has reviewed only for compliance with the County Code. Prospective customers of any hauler must make their own determination as to suitability of provider and services. Board of Commissioners - August 1, 2022 ITEM: 2 - 1 - 2 New Hanover County Contract # 23-0017 STATE OF NORTH CAROLINA AWARD OF FRANCHISE AGREEMENT FOR COUNTY OF NEW HANOVER SOLID WASTE SERVICES THIS FRANCHISE AGREEMENT made and entered into this the day of 2022, by and between NEW HANOVER COUNTY, North Carolina, a political subdivision of the State of North Carolina, hereinafter called "County" and LAWRENCE TRANSPORATION SYSTEMS, INC., a North Carolina Corporation, with its principal mailing address 872 Lee Highway Suite 203 Roanoke, VA 24019, hereinafter called "Operator." WITNESSETH WHEREAS, the County has, through the power granted to it under G.S. 153A-136, adopted an ordinance regulating the collection and disposal of solid wastes and requiring that all waste haulers have a license and a franchise in order to operate in the County, in order to provide the residents and commercial customer of the County with reliable, environmentally sound waste disposal now and in the future; and WHEREAS, Operator has contracted with commercial and/or residential customers located in New Hanover County in order to provide solid waste collection and disposal; and NOW THEREFORE, in consideration of the mutual benefits inuring to the parties hereto and based upon the mutual covenants contained herein and the considerations stated herein, the parties do hereby covenant and agree, and County hereby conveys a non- exclusive franchise to Operator, to collect and dispose of solid wastes to commercial and/or residential customers in the County. The parties therefore agree to the following terms and conditions: 1. Terms of Agreement. The initial term of this Franchise Agreement shall be seven (7) years from the date of signing. The Franchise may automatically renew and extend for a subsequent seven (7) year term, contingent upon County Commissioners approval pursuant to G.S. 153A-46. 2. Scope of Services. For the term of this Franchise Agreement, Operator agrees to provide commercial and/or residential customers with solid waste collection and transportation to County -approved disposal sites. 3. Disposal at County -Approved Facilities. Operator agrees to dispose of all waste collected in the County, as part of this franchise agreement, at County -approved facilities consistent with State law. With regard to County -approved facilities, said approval must be obtained by Operator prior to the disposal at said facilities, and said approval shall be granted or denied entirely at the discretion of the County. The County also has the authority to designate which facilities shall be used. 4. Curbside Recycling. Should Operator provide curbside trash collection services, Operator must also offer customer a curbside recycling option. 5. Administration/Billing. All billing of customers shall remain the responsibility of the franchisee. 6. Franchise. It is understood and agreed that all of the terms and conditions of New Hanover County Code Chapter 44, entitled "Solid Waste," pertaining to a franchise Board of Commissioners - August 1, 2022 ITEM: 2 - 2 - 1 New Hanover County Contract # 23-0017 for solid waste collections are incorporated herein by reference and made a part hereof as if fully set forth, including but not limited to insurance requirements. 7. Personnel and Equipment. Operator shall equip and maintain all vehicles with staff and equipment to comply with any applicable regulations and laws. 8. Independent Contractor. It is mutually understood and agreed that Operator is an independent contractor and not an agent of the county, and as such, Operator, its agents and employees shall not be entitled to any County employee benefits, and as such, Operator, its agents and employees shall not be entitled to any County employment benefits, such as, but not limited to, vacation, sick leave, insurance, workers' compensation, or pension or retirement benefits. 9. Indemnity. To the extent permitted by law, Operator shall indemnify and hold the County, its agents and employees, harmless against any and all claims, demands, causes of action, or other liability, including attorneys' fees, on account of personal injuries or death or on account of property damages arising out of or relating to the work to be performed by Operator hereunder, resulting from the negligence of or willful act or omission of Operator, its agents, employees and subcontractors. To the extent permitted by law, the County shall indemnify and hold the Operator, its agents and employees, harmless against any and all claims, demands causes of action, or other liability, including attorneys' fees, on account of personal injuries or death or on account of property damages arising out of or related to the solid waste services operated and administered by the County, and resulting from the negligence of or willful act or omission of the County, its agents, employees, and subcontractors. 10. Commercial General Liability. Franchise shall maintain Commercial General Liability (CGL) and if necessary, Commercial Umbrella Liability (CUL) insurance with a total limit of not less than $1,000,000 for each occurrence for bodily injury and property damage. If such CGL insurance contains a general aggregate limit, it shall apply separately to this work or services, or the general aggregate shall be twice the required limit. 11. Business Auto Liability. Operator shall maintain applicable Business Liability and, if necessary, Commercial Umbrella Liability insurance with a limit of not less than $1,000,000 each accident. Such insurance shall cover liability arising out of any auto, including owned, hired, and non -owned autos used in the performance of work or services. 12. Assignment, Contracting1 The parties agree that this agreement is not transferable or assignable by either party without the written consent of the other party to this agreement. Operator shall not subcontract with another entity to perform the services described herein without the approval of the County Manager or his designee. 13. Termination. The franchisee may terminate this franchise upon three hundred sixty-five (365) days written notice, or less notice with the consent of the County. The County may only revoke the franchise for cause as set out in Chapter 44, "Solid Waste," of the New Hanover County Code. This franchise may be modified or revoked by the County in the event that an ordinance is passed by the Board of Board of Commissioners - August 1, 2022 ITEM: 2 - 2 - 2 New Hanover County Contract # 23-0017 Commissioners creating an exclusive franchise system for residential solid waste collection in the unincorporated County. 14. Non -Waiver of Rights. It is agreed that County's failure to insist upon the strict performance of any provision of this agreement or to exercise any right based upon a breach thereof, or the acceptance of any performance during such breach, shall not constitute a waiver of any rights under this agreement. 15. Equal Opportunity. In connection with the performance of this agreement, Operator agrees not to discriminate against any employee or applicant for employment because of race, religion, color, sex, age, disability, or national origin. 16. Entire Agreement. This agreement constitutes the entire understanding of the parties with regard to the provision of solid waste collection and disposal. No modification of rescission of this agreement shall be effective unless evidenced by a writing signed by both parties to this agreement. 17. E-Verify Compliance. Operator shall fully comply with the U.S. Department of Homeland Security employee legal status E-Verify requirements for itself and all its subcontractors. Violation of the provision, unless timely cured, shall constitute a breach of contract. On April 14th Statements of Qualifications (SOQs) were received by 5 interested firms. The selection committee evaluated the SOQs and scored them based on the criteria outlined in the RFQ. The top 3 scorers moved on to the interview phase held on May 3rd. After the interviews were completed, the selection committee decided to move to the negotiation phase with the top ranked firm, Stewart Cooper Newell Architects. Final proposals for each station include complete design services for a 10,000 sf fire station at each location. The design of each station is estimated to take 9 to 13 months to complete with the following cost: Castle Hayne Fire - $537,240.00 Gordon Road Fire - $527,760.00 Construction Administration is also included which is estimated to take 12 to 13 months. Funds for the design of both projects have been allocated by the board with Design occurring in the Capital Improvement Plan FY22-23. Construction costs will be included in FY23-24 as laid out in the 5-year Capital Improvement Plan. We are thrilled to have the opportunity to once again work with NHC on more exciting projects. We will do our best to make NHC our most satisfied client yet. Project Understanding: The New Station is anticipated to be approximately 10,000 SF each. We understand that the site is properly zoned for the proposed use and that no rezoning, special exception permits, or variances will be required. Likewise, we assume that no roadway improvements will be required on the adjacent roadways. The permitting Authority Having Jurisdiction (AHJ) for this project is New Hanover County. The County has opted to utilize Construction Management at Risk (CMAR) as the construction delivery method for this project. The station proposal assumes that all the design phases will be performed with the utilization of the CMAR. The station proposal also assumes that the construction will run (from Notice to Proceed until Substantial Completion) for no longer than 395 days. CASTLE HAYNE STATION The site is an approximately 3 AC parcel on the south corner of the intersection of Castle Hayne Road and Parmele Road. We understand that municipal water and sewer are not on the site. Therefore on -site water and sewer will be part of this project. It is anticipated that a well will be required to provide domestic, fire sprinkler, etc. water and that it will likely require a fire sprinkler pump and storage tank to meet the minimum requirements. It is also anticipated that an on -site septic or sewer treatment system will be required to meet the minimum requirements. PHASE 2 — Castle Havne Station Design Development (DD) - Construction Documents (CD) - Bid Negotiations (BN) - Construction Administration (CA): • The estimated fee to provide the above Phase 2 — Design Development through Construction Administration is $362,000, plus a $12,500 Reimbursable Allowance for travel expenses. • Should the County approve Written Program sizes or a Schematic Design size or scope significantly different than the estimated 10,000 SF, the fee would be adjusted and approved accordingly prior to proceeding with Phase 2 scope. Prepare working drawings and specifications for the Technology Systems Design per New Hanover County standards to include: o Pathways and cabling for the connectivity of the Data, Phone, and o Wireless Access System (Structured Cabling) a Technology Rack Buildout o IP Video Surveillance System (Milestone Compatible) o Hardwired Access Control System (Continental CA4K Compatible) 3. The proposal does NOT include design of the following systems: o Network Servers, Switcbes or Wireless Access Points (Active Electronics) o Telephone Headend or Handset Devices o Workstations o Detailed Estimates o Door Hardware 4. Provide specifications for materials and installation of the Technology Systems. 5. Review and approve/disapprove/comment on shop drawings, materials lists and equipment submittals. 6. Design Team will answer applicable RFI's that occur during construction. 7. Provide up to five (5) construction field review visits during construction. A written report will be provided for each site visit. The reports will summarize the project construction progress and compliance with contract drawings and specifications. Additional site visits are available upon request and billed at hourly rates listed in the additional services section of this proposal. 8. All testing and commissioning of technology systems shall be performed as part of the ARCHITECTURE contractor's scope. PLANNING INTERIORS 3 CONSULTING Board of Commissioners - August 1, 2022 ITEM: 3 - 1 - 3 5 Traffic Impact Analysis (TIA): Study Area — Castle Hayne Road A traffic impact analysis (TIA) has been requested to determine the impacts associated with the proposed fire station development project located off NC-133 (Castle Hayne Road) in Wilmington, North Carolina. Based on NCDOT / WMPO standards and guidelines, the following study area intersections are assumed (study area intersections to be confirmed in a required scoping meeting): • NC-133 (Castle Hayne Road) / Site Access i • NC-133 (Castle Hayne Road) / Site Access 2 • NC-133 (Castle Hayne Road) / Parmele Road Peak period (7:00 am — 9:00 am and 4:00 pm — 6:00 pm) turning movement traffic counts will be collected by the design team at the existing study area intersections listed above. Scope The project involves the tasks and methodology that are outlined below: 1. Attend a scoping meeting with the County / NCDOT / WMPO 2. Complete a Memorandum of Understanding (MOU) summarizing the scoping meeting 3. Perform peak period (7:00 a.m. — 9:00 a.m. & 4:00 p.m. — 6:00 p.m.) turning movement traffic counts at the study area intersections noted above. 4. Collect other necessary data relating to the study area and adjacent transportation network. 5. Review all pertinent information including: land use plans, traffic accident data, and developments or roadway improvements planned in the study area which may impact this development. 6. Project future ambient network volumes using an area wide growth factor (to be provided by the County / NCDOT). 7. Add and distribute traffic from other approved TIAs within the study area, provided by the County / NCDOT. S. Calculate (using the I Ith Edition of the Institute of Transportation Engineers Trip Generation Manual) and distribute site -generated traffic to reflect the full build -out of the proposed development. 9. Conduct a capacity / operational analysis for the aforementioned intersections for the following conditions (AM and PM peak period) • Existing Year Traffic Condition • Build Year Traffic Condition Without Site Traffic • Build Year Traffic Condition With Site Traffic • Build Year Traffic Condition With Site Traffic & Recommended Imps 10. Provide recommendations to improve the level of service (LOS) at any study area intersection that demonstrates a deficient LOS due to the traffic generated by the proposed development. 11. Produce a TIA that documents all findings and recommendations. 12. Attend up to four (4) meetings with the Client / County / NCDOT. Any additional services outside of this scope will be billed at an hourly rate. NC General Statute 153A-241 authorizes the county to permanently close any public road or easement within the county not under the control of a city or the NC Department of Transportation (NCDOT) by first adopting a resolution declaring intent to close a road and calling a public hearing on the matter. The resolution of intent was adopted by the Board on June 20, 2022, and public notice in accordance with statutory requirements has been provided. The General Statutes establish the board may approve a road closure request if it finds the closing would not be detrimental to the public interest or to any individual property rights. The Bide -A -Wee Subdivision was recorded with the New Hanover County Register of Deeds in March 1955 at Book 571, Page 24 % creating 14 new residential lots facing Linaker Avenue (now Kerr Avenue) with three (3) road -stubs perpendicular to the state road. The stubs are each approximately 60 feet wide by 200 feet long and have never been accepted into the NCDOT maintenance system. Two (2) of the stubs currently serve as private driveway access to the Cape Fear Optimist Club. The remining third is between 2805 and 2809 Blue Clay Road and does not serve as access to any other property. NCDOT stated they have no intention of accepting the stub, and the Cape Fear Public Utility Authority (CFPUA) stated they will only require a utility easement over a portion of the property if the paper street is closed. If closed, the property owner would be required to hire a surveyor to recombine the lot lines and establish the utility easement. The applicant has been in contact with the Cape Fear Optimist Club to arrange for a private access and maintenance easement to allow the club to continue maintaining the periphery of their property. The stub has not historically been used to access the club property. The applicant will be present with additional information regarding the status of the agreement. This street is a short `stub', existing only on the Bide -A -Wee deed map (attached- Exhibit One). No improvements were ever made and the NCDOT never accepted this road into the State Road System (reference attached email- Exhibit Two). Furthermore, no adjoining parcels are served directly by the `Street', as each has access directly to Blue Clay Road. With regards to current use, as the only adjoining owner, I have observed this empty strip separating my Blue Clay Road parcels for approximately 3 years. In that time, I have been the only person to maintain the area and, other than my tenants at 2805 and 2809 Blue Clay Road, the area appears unused. I believe that condition has been the prevailing state of the `Street' since its creation by deed in the 1950s. It is noteworthy that CFPUA installed a waterline within the area over the past year. Since that projects completion, however, the street has returned to its long-term condition; disuse. I have spoken to the Authority and, with provision of a utility easement, they do not foresee any issue with our request to close the street (reference attached email- Exhibit Three). It is also noteworthy that my neighbor to the rear in this area is the Optimist Club of Cape Fear. Specifically the undeveloped street aligns with the outfield area between two ballfields in their Wrightsboro facility. The common use for the ballpark, however, is served by two primary access points along N. Kerr Avenue. These driveways are maintained and align with the parking lots and clubhouse provided for the facility. Regarding the `Street' under application for closure, it is reasonable to consider the Club may need access through this area to provide upkeep and/ or maintenance to ballpark facilities. For this reason, I have taken it upon myself to meet with the Club and, we are currently working on a draft easement agreement to provide access after closure of the road. Ultimately, the road under petition is a "Street" that goes nowhere and is a largely forgotten piece of land. For these reasons, I respectfully petition for its closure. The preliminary assessment resolution called for 100% of the costs of the project to be assessed to the property owners with the basis for making the assessment being the number of of parcels with road frontage and addresses on Bedrock Court and Stoneybrook Road at an equal rate per parcel, as allowed by NCGS 153A-186(a). Each property owner will have the option of paying their assessment in five (5) equal annual installments which will bear interest at a rate that approximates all costs, including opportunity cost, to administer the installment loans, which equates to 5.5%. The first annual installment will be due sixty (60) days after the final assessment roll has been confirmed. The cost of the improvements is currently estimated at $42,000. The preliminary resolution called for a public hearing on August 1, 2022 on matters related to this special assessment. Proper public notice has been filed and copies of the preliminary resolution for the special assessment have been mailed to the affected property owners as called for in NCGS 153A, Article 9. A final assessment resolution must be adopted after the public hearing to allow the project and special assessment to move forward.
